Deliveroo plc ("Deliveroo" or "the Company")
Block Listing Application
The Company announces that an application has been made to the Financial Conduct Authority (the "FCA") and to London Stock Exchange plc (the "London Stock Exchange") on 6 May 2022 for a total of 19,000,000 class A shares of 0.5 pence each ("shares") to be admitted to the Official List. This is in addition to the balance of its existing block listings totalling 35,184,283 shares.
These shares are expected to be admitted to the Official List and to be available for trading on the London Stock Exchange on 11 May 2022.
The shares will be reserved under a block listing in connection with the following share plans: (i) stock option contracts (2,700,000 shares); (ii) restricted stock units (RSU) (3,000,000 shares); and (iii) free share plans (FSP) (300,000 shares) which relate to pre-IPO awards granted to employees and non-employees before admission to the London Stock Exchange and: (iv) Deliveroo Incentive Plan - Options or Awards (9,500,000 shares); and (v) Deliveroo Incentive Plan - US Sub Plan (3,500,000 shares); which relate to post-IPO awards granted since the Company's admission to the London Stock Exchange.
The shares will be issued from time to time on the vesting of shares under the Share Plans listed above in (i),(ii) and (ii) and on the exercise of options or awards under the post-IPO incentive plans in (iv) and (v) above. When issued, these shares will rank pari passu with the existing Shares.
