Recommended merger of Oryx International Growth Fund Limited ("Oryx" or the"Company") with American Opportunity Trust PLC ("AOT") by way of scheme ofarrangement Oryx announces that at its Extraordinary General Meeting held today, Friday 26January 2007, called to approve the proposed merger with AOT, the resolution wasduly passed. In addition, all the requisite resolutions proposed at the CourtMeeting of AOT Shareholders and the Extraordinary General Meeting of AOT, bothheld today, to effect the proposed merger of Oryx and AOT by way of the Schemeof Arrangement were also duly passed. Subject, inter alia, to approval of the Scheme at the Court hearing scheduledfor 22 February 2007, it is expected that the Effective Date for the Scheme willbe 23 February 2007 with dealings in the New Oryx Ordinary Shares to be issuedto AOT Shareholders expected to commence on 26 February 2007. The New OryxOrdinary Shares will rank pari passu with existing Oryx Ordinary Shares in allrespects. The last day of dealings in AOT Shares is expected to be 22 February2007. It is expected that Oryx will announce on the Effective Date the number of NewOryx Ordinary Shares that the AOT Shareholders will receive for every 1,000 AOTShares that are held by AOT Shareholders.
