Oao Gazprom17 November 2006 PRESS-RELEASE 17 November 2006 Moscow NOT FOR DISTRIBUTION IN THE US, CANADA OR JAPAN OJSC GAZPROM PLACED EUR500 MILLION AND USD1.35 BILLION OF EUROBONDS Today OJSC Gazprom placed EUR500 million of loan participation notes, due 2017and USD 1.35 billion of loan participation notes, due 2016. The notes were issued by Gaz Capital S.A., a Luxembourg special purpose vehicle, under Gazprom's Loan Participation Note Programme. The loan participation notes were priced at par. The EUR denominated notes have an annual coupon of 5.136% and the USD denominated notes have an annual coupon of 6.212%. Credit Suisse Securities (Europe) Limited and UBS Limited acted as joint lead managers and bookrunners. The proceeds of the offering will be used to finance a loan to OJSC Gazprom, theproceeds of which will be used for general corporate purposes.
