Notice of General Meeting

Marlowe plc ("Marlowe" or the "Group"), the specialist services group focused on developing companies which assure safety and regulatory compliance, announces that a general meeting of the Group will be held at 11.00 am on 11 December 2020 at 20 Grosvenor Place, London SW1X 7HN (the "General Meeting").

Following the successful conclusion of the oversubscribed placing of new Marlowe ordinary shares announced on 29 October 2020, which utilised share issuance authorities approved at the September 2020 Marlowe Annual General Meeting (AGM), the Group is currently unable (otherwise than in connection with a rights issue or other pro-rata offer to existing shareholders) to allot any new ordinary shares for cash on a non-pre-emptive basis.

As a result, the Group now considers it appropriate to request the grant of additional authorities to, inter alia, allot ordinary shares in the capital of the Group for cash and in doing so provide the Group with ongoing flexibility in the implementation of its acquisition-led growth strategy. The authorities to be sought at the General Meeting will expire at the next Marlowe AGM in 2021.

A notice convening the General Meeting and providing details of the resolutions to be put to shareholders will shortly be posted to shareholders and can be viewed at or downloaded from the Group's corporate website at www.marloweplc.com.
