Voting rights and capital

In conformity with the FCA's Disclosure and Transparency Rule 5.6.1, the Company advises the market that as at 31 August 2016 its capital consisted of 664,537,006 ordinary shares.

The Company holds 12,219,405 ordinary shares in Treasury.

Therefore the total number of voting rights in the Company is 652,317,601.

The above figure of 652,317,601 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, ICAP plc under the FCA's Disclosure and Transparency Rules.
