ICAP plc ("the Company")

Treasury shares

On 15 April 2015, the Company transferred a total of 17,085 shares as follows:

· 11,438 ordinary shares at £2.74 per share to participants in its 2012 Sharesave Scheme;

· 3,860 ordinary shares at £2.72 per share to participants in its 2013 Sharesave Scheme; and

· 1,787 ordinary shares at £3.02 per share to participants in its 2014 Sharesave Scheme.

These shares were previously held as treasury shares.

Following the above transactions, the Company holds 15,295,590 ordinary shares in treasury, and has 649,241,416 ordinary shares in issue (excluding treasury shares).
