ICAP plc ("the Company")

Treasury shares

On 8 July 2015, the Company transferred a total of 15,567 shares as follows:

· 10,454 ordinary shares at £2.74 per share to a participant in its 2012 Sharesave Scheme;

· 3,749 ordinary shares at £2.72 per share to a participant in its 2013 Sharesave Scheme; and

· 1,364 ordinary shares at £3.02 per share to participants in its 2014 Sharesave Scheme.

These shares were previously held as treasury shares.

Following the above transactions, the Company holds 14,356,351 ordinary shares in treasury, and has 650,180,655 ordinary shares in issue (excluding treasury shares).
