NOTIFICATION OF TRANSACTION IN SHARES BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES
Grants under Howdens Long Term Incentive Plan ("LTIP")
The Company announces that on 5 September 2019 it granted the following restricted share awards ("Awards") over ordinary shares ("Shares") of the Company to Mark Slater, Commercial Director and a Person Discharging Managerial Responsibilities ("PDMR"), under the Company's LTIP.

Mr Slater joined the Company on 3 June 2019 and upon leaving his previous employment forfeited a number of share awards ("Previous Awards"), including performance based awards and awards of restricted shares not subject to performance conditions. Although Mr Slater is not an executive director of the Company, the Previous Awards have nevertheless been replaced with awards of forfeitable shares in line with the approved executive director remuneration policy, with equivalent remaining periods to release of the awards foregone and equivalent expected value.
The Notification of Dealing Form for the above grants may be found below. This notification is provided in accordance with the requirements of the EU Market Abuse Regulation.
