Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules.

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it has been notified of the following share purchases by persons discharging managerial responsibilities of Hill & Smith:

- C J Snowdon; 6,000 ordinary shares at a price of 231.5 pence per share. This transaction was effected on 15 November 2010 on PLUS markets.

- W H Whiteley; 4,100 ordinary shares at a price of 236.0 pence per share. This transaction was effected on 15 November 2010 on the London Stock Exchange.

- M Pegler; 5,000 ordinary shares at a price of 241.28 pence per share. This transaction was effected on 15 November 2010 on the London Stock Exchange.

- J C Humphreys; 5,000 ordinary shares at a price of 242.0 pence per share. This transaction was effected on 15 November 2010 on the London Stock Exchange.

As a result of these purchases the individuals named above now have the following beneficial interests in the ordinary shares of the Company:

- C J Snowdon; a total of 33,930 ordinary shares.

- W H Whiteley; a total of 11,350 ordinary shares.

- M Pegler; a total of 9,000 ordinary shares and options over 214,564 ordinary shares.

- J C Humphreys; a total of 12,000 ordinary shares and options over 27,902 ordinary shares.
