HILL & SMITH HOLDINGS PLC 

Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it was notified on 3 December 2008 that Mr J C Humphreys, being a person discharging managerial responsibilities of Hill & Smith, has purchased 5,000 ordinary shares in the Company at 167 pence per share. These transactions were effected on 3 December 2008 on the London Stock Exchange.

Following this purchase, Mr Humphreys is beneficially interested in 5,000 ordinary shares in the Company and has options over 27,902 ordinary shares.
