Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it was notified on 30 December 2009 that Mr Bill Whiteley, who as previously announced will be joining the Board of Hill & Smith as Chairman on 1 January 2010, has purchased 3,000 ordinary shares in the Company at a price of 347 pence per share.  This transaction was effected on 30 December 2009 on the London Stock Exchange.

Following this purchase, Mr Whiteley is beneficially interested in 3,000 ordinary shares in the Company.
