Proposed sale of existing ordinary shares in The Gym Group Plc

Barralina Asset Management GmbH ("Barralina" or the "Seller") announces its intention to sell its remaining stake in The Gym Group Plc ("Company").

The sale will be conducted through a placing of up to 5,000,000 existing ordinary shares in the Company (the "Placing Shares") with institutional investors by means of an accelerated bookbuild offering (the "Placing"), which is to begin immediately. A further announcement will be made following completion of the bookbuild and pricing of the Placing.

Joh. Berenberg, Gossler & Co. KG, London Branch ("Berenberg") is acting as sole bookrunner and placing agent in relation to the Placing.

The Placing Shares represent in aggregate up to 3.90 per cent. of the issued share capital of the Company and following completion of the Placing, the Seller will no longer hold any ordinary shares of the Company.

The Company will not receive any proceeds from the Placing.
