Exercise of Warrants and Total Voting Rights
Gfinity plc (AIM: GFIN), a leading esports and gaming solutions provider, announces that it has received warrant exercise notices over an aggregate of 14,650,000 new ordinary shares of 0.1 pence each in the capital of the Company ("New Ordinary Shares") with an exercise price of 1 penny per share, providing the Company with proceeds of £146,500.
The New Ordinary Shares will rank, pari passu, in all respects with the Company's existing ordinary shares. Application has been made to the London Stock Exchange for the New Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission and the issue of the 14,650,000 New Ordinary Shares will take place on, or around, 22 May 2020 ("Admission").
Total voting rights
Following Admission, the issued share capital of the Company will consist of 719,213,753 ordinary shares of 0.1 pence each with one voting right per share. The Company does not hold any Ordinary Shares in treasury.
Therefore, the total number of Ordinary Shares and voting rights in the Company will be 719,213,753. From Admission, this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
