TOTAL VOTING RIGHTS

Further to the Result of the Tender Offer as announced on the 31st May 2023, Goodwin PLC (LSE: GDWN) confirms that 180,000 shares were cancelled on the 7th June 2023 following completion of the Tender Offer.

Subsequently, the Company's issued share capital was reduced from 7,689,600 to 7,509,600 Ordinary Shares of 10 pence each with no Ordinary Shares held in treasury (the "Ordinary Shares").

Shareholders may use this figure as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules ("DTR").

This announcement is made in conformity with DTR 5.6.1.
