NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
This form is intended for use by an issuer to make a RIS notification required by DR 3.1.4R(1).
(1) An issuer making a notification in respect of a transaction relating to the shares or debentures of the issuer should complete boxes 1 to 16, 23 and 24.

Transaction 1: In all cases the disposal of beneficial interest in Ordinary Shares retained by Appleby Trust (Jersey) Limited on behalf of the Ferrexpo AG Listing Bonus Trust (the "Trust") under the terms of the trust deed of the Trust in order to settle tax and social security liabilities on behalf of beneficiaries, including the persons discharging managerial responsibility and directors named above, but excluding Mr Dennis McShane.
Transaction 2: In the case of Mr Mike Oppenheimer, the further sale of 950,000 Ordinary Shares.
Transaction 3: In the case of Mr Dennis McShane, the sale of 750,000 Ordinary Shares.

Transaction 1: The disposal of beneficial interest in Ordinary Shares retained by Appleby Trust (Jersey) Limited as Trustee of the Ferrexpo AG Listing Bonus Trust under the terms of the trust deed in order to settle tax and social security liabilities on behalf of the beneficiaries was effected by withholding from the persons named in 11 above the number of shares referred to in 11 above.
The number of shares withheld from Mr Mike Oppenheimer and the percentage of issued class disposed referred to in 11 and 12 above respectively represent the maximum potential withholding in respect of Mr Oppenheimer. These numbers may be reduced as a result of an outstanding ruling being sought from the relevant authorities in Switzerland.
Transactions 1 & 2: The number of shares and percentage holding retained by Mr Mike Oppenheimer referred to in 15 above represent the minimum potential retained holding in respect of Mr Oppenheimer. These numbers may be increased as a result of the same outstanding ruling.
