European Exchange-Traded Fnd Co.PLC04 April 2005 Irish Stock Exchange Announcement For immediate release 4 April 2005 European Exchange Traded Fund Company plc (the "Company") Re: Appointment of new director and retirement of existing director The Company is pleased to announce the appointment of Mr William Roberts and MrVincent Dodd as non-executive directors, subject to the approval of the IrishFinancial Services Regulatory Authority, with effect from 23 March 2005. MrDodd and Mr Roberts the following experience to the Board: Mr Dodd currently is Director of Development for the company Private WealthManagers (P.W.M.), which is a specialist investment advisory company that workswith high net worth individuals, family offices, corporate and pension clients.Mr. Dodd has been with P.W.M since August of 2003. Prior to joining P.W.M Mr.Dodd was the Head of the Private Banking Division of IIB Bank in Ireland wherehe successfully developed the product range, client base and profile of IIBPrivate Banking in the Irish marketplace. Mr. Dodd was with IIB Bank from1997-2003. Before joining IIB Bank he was with Bank of Ireland Securities asHead of Business Development (1993-1997) and Manager of the Private ClientsGroup with the Investment Bank of Ireland. Mr. Dodd received his BA inEconomics and Politics in 1986, and his DBA in Corporate Finance and BusinessAdministration in 1987. Mr Roberts brings a wide range of professional experience as a solicitor rangingfrom commercial litigation in Scotland and Hong Kong through asset finance,capital markets, and collective investment vehicles in Bermuda and Cayman. From1990-1999, he concentrated on collective investment vehicle formation andprovided ongoing advice with particular focus on hedge and private equity funds. Mr. Roberts also brings extensive experience in debt issuance andsecuritisation. Mr. Roberts has worked most recently with W.S. Walker & Companyas a Senior Assistant (1990-1994) and then Partner (1994-1999). He wasSecretary to the International Bar Association's sub-committee on specialisedinvestment funds from 1998-2000. He received his LLB with honours, Dip L.P.from Edinburgh University in 1982, and has been admitted as solicitor inScotland, Hong Kong, Bermuda and the Cayman Islands. Currently Mr Roberts isretired and serves as director to several investment management companies,including funds for Frank Russell, Integritas, and Poalim Asset Management. Mr Dodd and Mr Roberts (the "Directors") have no unspent convictions, have neverbeen declared bankrupt, nor have they been the subject of an individualvoluntary arrangement or a receivership of any assets held by them. TheDirectors were not a director with an executive function of any company at thetime of or within the 12 months preceding its bankruptcy, receivershipadministration, liquidation administration, company voluntary arrangement orcomposition or arrangement with its creditors generally. There have been nopublic criticisms of the Directors by any statutory or regulatory authority norhave the Directors ever been disqualified by a court from acting as a directorof a company or from acting in the management or conduct of the affairs of anycompany. The Directors have not been a partner of any partnership at the timeor within 12 months preceding its compulsory liquidation, administration orpartnership voluntary arrangement. The Directors have not had a receiverappointed over any of their assets or of any of the assets of a partnership ofwhich they were a partner within 12 months after they ceased to be a partner ofthat partnership. A memorandum detailing the names of all companies and partnerships of which theDirectors have been a director or partner in the past five years, together withan indication of whether or not they are still a director or partner, isavailable for inspection at the Offices of Goodbody Stockbrokers, BallsbridgePark, Ballsbridge, Dublin 4. The Resolution was put to the Meeting and on a show of hands was declaredcarried. Re-appointment of Directors a) It was proposed that Mr. Peter Blessing be re-appointed as a Director. Themotion was put to the Meeting and on a show of hands was declared carried. b) It was proposed that Mr. Richard Keatinge be re-appointed as a Director. Themotion was put to the Meeting and on a show of hands was declared carried. c) It was proposed that Mr. Lee Kranefuss be re-appointed as a Director. Authorise the Directors to allot and issue relevant securities It was proposed to generally and unconditionally authorise the Directors toallot and issue relevant securities (as defined by Section 20 Companies(Amendment) Act, 1983) up to a maximum of the authorised but as yet unissuedshare capital of the Company at the close of business on the date of passing ofthis resolution.
