Silchester International Investors LLP ("Silchester") acts as investment manager for certain commingled

funds (our "Clients"). In acting for our Clients, Silchester is given full discretion over their investments and

is empowered to vote on their behalf. However, we do not act as our Clients' custodian and therefore

shares are not held in our name but in the name of each Client's custodian bank.

The shares which are the subject of this notification were received in a share for share exchange as part of a corporate reorganisation by Man Group plc. The shares previously controlled by Silchester (in the former UK incorporated group holding company) and exchanged for the shares subject to this notification are no longer listed and no notification has been made in respect of their disposal as part of this transaction. Silchester notified the market in April 2016 that it controlled over 5% of the voting rights of the former UK incorporated group holding company. The new group holding company is registered in Jersey.
