Completion of the acquisition of Media Management, LLC
and
Total Voting Rights
Ebiquity plc ("Ebiquity" or the "Company"), a world leader in media investment analysis, is pleased to announce the completion of the acquisition of Media Management, LLC (trading as MMi) ("MMi"), a US-focused media audit specialist, announced on 30 March 2022.
Completion of acquisition
Following the admission ("Admission") of 1,737,261 new ordinary shares in the share capital of Ebiquity ("Ordinary Shares") to trading on AIM earlier today and payment by the Company of the balance of the initial consideration, each in accordance with the terms of the agreement for the acquisition of MMi, all conditions in that agreement have been satisfied and the acquisition of MMi has now been completed.
Total Voting Rights
Following Admission, the total number of Ordinary Shares in issue will be 84,891,181 with each share carrying the right to one vote. The Ebiquity plc Employee Benefit Trust holds 4,200,000 issued Ordinary Shares to satisfy awards under the Company's share option plan. To date these share options have not been exercised and the trustee has agreed not to vote the Ordinary Shares which it holds. Therefore 4,200,000 Ordinary Shares are treated as not carrying voting rights. The figure of 80,691,181 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure Guidance and Transparency Rules.
