Datacash Group PLC21 March 2007 21st March 2007 DataCash Group plc ("DataCash" or the "Company") Director shareholding Under the terms of the top-up rights contained within the acquisition agreementbetween DataCash and Proc Cyber Services (UK) Limited, each time one of theCompany's existing share options (which existed at the time of the acquisition)is exercised, Ashley Head, non-executive chairman of the Company, is entitled tosubscribe for the equivalent number of new shares at the same price as theexercise price of the option exercised. The Company has been notified today by Mr Head that he has subscribed for thefollowing shares at the following prices: Number of Exercise price Number of shares subscribed Subscriptionshares (p) for by Mr Head price 20,000 26.58 pence 20,000 26.58 pence Pursuant to subscribing for these shares Mr Head is beneficially interested in45,431,901 shares representing 49.90 per cent. of the issued share capital ofthe Company. In addition, a further 191,000 options have been exercised forwhich Mr Head retains the right to subscribe for an equivalent number of sharesunder the terms of the top-up rights. If Mr Head chooses to exercise the top-uprights with respect to the 191,000 shares a further announcement will be made indue course. There remain options over 709,790 DataCash shares. Mr Head has rights tosubscribe for further new shares as and when these options are exercised.
