Clarke(T.) PLC1 April 2005 T. Clarke plc Notification of Extraordinary General Meeting and Proposed Bonus Share Issue The Board of T. Clarke plc, the electrical engineering and contracting company,today announces its intention to undertake a Bonus Issue of two new ordinaryshares for every one existing ordinary share. Accordingly, an ExtraordinaryGeneral Meeting of the Company is being convened on Friday 6th May 2005 to takeplace immediately following the Annual General Meeting of the Company to enableShareholders to consider, and, if thought fit, approve the Bonus Issue. It is the Board's view that the proposed Bonus Issue will benefit shareholdersby enhancing the liquidity and marketability of the Company's shares. On the basis of the current issued share capital of 13,315,963 Ordinary Shares,the Bonus Issue will result in the issue of 26,631,926 New Ordinary Shares toshareholders on the register as at 5.00pm on 6th May 2005.
