Caledonia Investments plc
Notification of transactions of persons discharging managerial responsibilities ("PDMR") or persons closely associated with them ("PCA")
Caledonia Investments plc ("Caledonia" or the "Company") has been notified pursuant to the requirements of the Market Abuse Regulation of the following transactions in its ordinary shares of 5p ("Shares") involving two of its directors, Jamie Cayzer-Colvin and William Wyatt, and persons closely associated with Mr Cayzer-Colvin.
On 1 September 2021, The Simon Weinstock Will Trust, of which Mr Cayzer-Colvin is a trustee, sold 54,989 Shares in Caledonia, representing 0.1% of the Company's total issued ordinary share capital. The Shares were sold on market at a price of 3,385p each.
On 2 September 2021, Shares, as noted in the table below, were transferred to the above-named directors under Caledonia's 2011 Performance Share Scheme ("Performance Share Scheme") at nil cost. All Shares were sourced from The Caledonia Investments plc Employee Share Trust ("EST"):

On the same date, Mr Wyatt sold 24,250 Shares back to the EST and Mr Cayzer-Colvin sold 15,903 back to the EST. All Shares were sold at 3,410p per Share.
Mr Wyatt's total interests in Shares following the above transactions are as follows:
Beneficial - 1,151,152 Shares* = 2.09%
Non-beneficial - 82,467 Shares = 0.15%
Performance share scheme awards - 123,076 Shares = 0.22%
Deferred bonus plan awards - 13,652 Shares = 0.02%
* includes 1,009,898 Shares owned by Dunchurch Lodge.
Mr Cayzer-Colvin's total interests in Shares following the above transactions are as follows:
Beneficial - 250,024 Shares** = 0.45%
Non-beneficial - 203,384 Shares** = 0.36%
Performance share scheme awards - 76,969 Shares = 0.14%
Deferred bonus plan awards - 10,050 Shares = 0.02%
** following a change to the status of persons closely associated with Mr Cayzer-Colvin, his previously reported beneficial interests have reduced by 124,889 Shares and his non-beneficial interests have increased by 108,100 Shares.
