EGP 25 Million Capital Increase Retention plan for CIB Employees

Based on the approval of the Bank's extraordinary general assembly meeting that was held on June 26th, 2006, CIB launched a rewarding scheme for employees through an Employee Share Ownership Plan (ESOP), whereby the top performers from the Bank's employees and managers will be granted 1% of CIB shares, on a yearly basis for 5 years starting December 31st, 2006. Such employees should complete a term of 3 years of service in the Bank to have the right to exercise ordinary shares at face value. These shares will be issued on the vesting date; otherwise such grants will be forfeited.

In our ongoing efforts to ensure our shareholders' best interest, CIB issued equity-settled share based payments and calculated the difference between the market value and the face value of these equity-settled share- based payments. Such expenses were accrued on a straight-line basis over the course of the vesting period (3 years) with corresponding increase on equity, based on the number of shares estimated to vest. This was done in order to ensure no dilution of shares takes place.

Accordingly and based on the approval of the Bank's extraordinary general assembly meeting that was held on March 17th, 2010, the first installment of the share-based payments is to vest on April 26th, 2010. As a result, the Bank's capital will increase by EGP 25 Million through a cash injection paid for by CIB staff.

As such, the same process will take place over the course of the next 5 years on a yearly basis starting 2010 until 2014.

زيادة رأس مال البنك التجارى الدولى- مصر- بقيمة 25 مليون جنيهاً مصرياً فى إطار برنامج تحفيز وإثابة العاملين

بناءً على موافقة الجمعية العامة غير العادية والتى انعقدت فى فى ٢٦ يونيو ٢٠٠٦، قام البنك التجارى الدولى-مصر بتفعيل نظام إثابة و تحفيز العاملين. وبموجب هذا النظام يتم إثابة العاملين والمديرين بالبنك من خلال تملكهم اسهما فى رأس مال البنك وذلك بواقع 1% من أسهم البنك سنوياً على مدار خمس سنوات بدءاً من 31 ديسمبر2006 و يكون للعاملين بالبنك الحق فى تملك الأسهم بشرط إتمام مدة خدمة تبلغ ٣ سنوات حيث سيتم إصدارها بالقيمه الاسميه فى نهايةهذه الفترة.

وفى إطار الجهود المبذولة للحفاظ على مصلحة مساهميه قام البنك بإصدار أدوات حقوق ملكية (الحق فى المساهمة) لبعض موظفى البنك طبقا لنظام مدفوعات مبنية على أسهم حيث تم احتساب الفرق بين القيمة السوقية والقيمة الاسمية لهذه الأسهم وتم إثباته بقائمة الدخل في بند مصروفات وفقا لمبدأ الاستحقاق مقابل زيادة في حقوق الملكية طبقآ لتقدير البنك لعدد الأسهم التى سيتم إصدارها. وقد تم هذا الإجراء بهدف الحفاظ على قيمة السهم.

وبناءً على ما سبقوطبقاًً لموافقة الجمعية العامة غير العادية للبنك والتى انعقدت فى 17 مارس 2010ستستحق الدفعة الأولى من هذه الأسهم فى 26 إبريل 2010 وينتج عن ذلك زيادة فى رأس مال البنك بنحو 25 مليون جنيهاً مصرياً يقوم موظفى البنك بسدادها.

هذا وسيستمر هذا النظام على نفس النهج خلال الخمس سنوات القادمة سنوياً بدءاً من 2010 وصولاً إلى 2014.
