Notification of transactions of directors and persons discharging managerial responsibilities

Subscription for ordinary shares by Geoff Cooper

In accordance with the UK Financial Conduct Authority's Disclosure Rules and Transparency Rules ("DTRs"), Card Factory announces that on 24 May 2016, the Company's Chairman, Geoff Cooper, subscribed for 146,666 ordinary shares in the Company at a price of £2.25 each (the "Shares").

The subscription is conditional upon the Shares being admitted to the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange's main market for listed securities ("Admission").

The Shares are being subscribed for pursuant to the exercise by Mr Cooper of an option granted to him, in connection with his appointment, at the time of the Company's initial public offering ("IPO") in May 2014. Details of this option have previously been disclosed by the Company in the prospectus issued at the time of the IPO and are also set out in the Company's 2016 Annual Report and Accounts (a copy of which is available on the Company's investor relations website www.cardfactoryinvestors.com)

Upon Admission, Mr Cooper will hold 293,332 ordinary shares of £0.01 each in the Company.

The transaction took place in London. This notification is made pursuant to DTR 3.1.4. Card Factory was notified of the above transaction on 24 May 2016.
