| 23. | Any additional information Grant of options to acquire shares for nil exercise price in order to provide the matching share entitlement to Directors of the Company under the terms of its 2008 Co-Investment Plan ("COIP").The independent trustee of the Capital & Regional plc Employee Share Ownership Trust, notified the Company on 15 December 2008 that it granted options to acquire the following shares for nil exercise price in order to provide the matching share entitlement under the COIP to the Directors of the Company named in box 3 above.The COIP was approved by shareholders at an EGM of the Company held on 5 November 2008. It operates as follows: Executive Directors and key senior team members are eligible to participate; Under the terms of the COIP participants in receipt of a payment in 2008 from the 2005 awards made under the Company's Capital Appreciation Plan or an annual bonus may be invited to acquire shares and receive a COIP award; The number of matching shares which may be awarded to a participant is limited to a maximum of two shares for every one Lodged Share purchased by the participant for executive directors and the Managing Director of the Junction and one share for every Lodged Share for other participants ; and A COIP award will normally "vest" only at a time or times between the third anniversary of the date of grant and the tenth anniversary of that date. At the time of the award a performance target will be set which must be satisfied before it can vest.
