Andrews Sykes Group PLC15 September 2005 Andrews Sykes Group plc 15 September 2005 Result of Tender Offer The Board of Andrews Sykes Group announces that valid tenders pursuant to theTender Offer made by Brewin Dolphin, which closed at 5.00 p.m. on 13 September2005, were received for 13,423,138 Ordinary Shares from 236 shareholders. The Company also announces that the Capital Reduction, which was approved byShareholders at the EGM on 24 August 2005, yesterday received confirmation bythe High Court. In order to allow Andrews Sykes Group plc to complete theacquisition of shares from Brewin Dolphin interim accounts of Andrews SykesGroup plc for the period from 1 January 2005 to 16 September 2005 are beingprepared and will be delivered to the registrar of companies on 22 September2005. The repurchase of the tendered Ordinary Shares will be effected by BrewinDolphin on 23 September 2005. Andrews Sykes Group will subsequently acquire forcancellation from Brewin Dolphin, at the Tender Price of 177.5 pence, all theOrdinary Shares purchased by Brewin Dolphin under the Tender Offer. The consideration for the Tender Offer is expected to be despatched on or around26 September 2005 to those Shareholders who have successfully tendered OrdinaryShares under the Tender Offer, whether in certificated or uncertificated form. As a result of the Ordinary Shares being repurchased for cancellation and theCapital Reduction being confirmed by the High Court the issued share capital ofthe Company is now 44,567,865 Ordinary Shares at 1p each.
