Pursuant to the irrevocable undertaking given by Yew Tree Overseas Limited ("Yew Tree") on 26 June 2020, Yew Tree agreed to subscribe for 24.99 per cent. of new ordinary shares (the "Placing Shares") to be issued by Aston Martin Lagonda Global Holdings plc ("AML") under the placing announced by AML on 26 June 2020.
As set out in the announcement of the placing published by AML on 26 June 2020, Yew Tree agreed to transfer approximately 30 per cent. of the Placing Shares to other members of the consortium of AML shareholders led by Yew Tree, being Saint James Invest SA, J.C.B. Research, RRRR Investments LLC, FrancInvest Holding Corporation, Omega Funds I Limited and ErsteAM Ltd (the "Consortium Members"). The change in Yew Tree's indirect percentage holding of voting rights in AML detailed in this notification is as a result of these agreed transfers of part of the Placing Shares to the other Consortium Members having taken place.
The Consortium Members have given personal undertakings to Lawrence Stroll that they will exercise the voting rights attaching to the shares in AML directly or indirectly held by them in accordance with Lawrence Stroll's instructions. Lawrence Stroll therefore indirectly holds the voting rights attaching to the shares in AML directly and indirectly held by the Consortium Members.
Securities Services Nominees Limited holds a number of shares AML as nominee for other shareholders in addition to the shares it holds in its capacity as nominee for Yew Tree, hence the discrepancy between the percentages of voting rights held by Securities Services Nominees Limited and Yew Tree in Box 9 above.
