My point is simply that those concerns I listed as valid should be discussed in a reasonable manner on a forum full of adults. Not shouted down like a pack of hyenas. I don’t agree with everything that’s posted on here but I respect posters right to be able to discuss it.

So going back to the point I made at the start Sharbel’s initial concern for me was reasonable and could have been discussed in an adult like manner. Probably would have been a decent thread. Certainly didn’t require putting in the ‘DA’ bucket.

Peak - I never introduced them Parm did. I just put them into two buckets - valid (imo) and not valid due to fear mongering, etc. It was also Parm who used the term ‘director dumping’. I cut and paste his list.

Had an email through about the current seasonal sale and a code for an additional 20% so I thought I’d get some stuff for work given we’ll be back to the office soon.

I know it’s a acquisition/takeover - my point was my guess would be it might work more like a partnership/merger. As in working together with Tradeflow being already established rather than SYME swallowing it up like what usually happens.

I’m not too sure why the FCA is being brought into it? It’s of no relevance. Parm called the point (which he actually brought up originally) about the directors selling being nonsense and not a valid concern. I’ve simply pointed to the information published via RNS and the accounts that shows the director holding reduced. It’s a free public market they can sell if they want.

The loan shares were originally loaned out of 1AF2 which then folded into new ‘TAG’ which is the 30% odd owned by AZ per the RNS/Accounts.

Why would SYME own it’s owned shares? No one has mentioned that so not sure what you’re referencing?

Director ‘dumping’ a colourful term but whichever way you dress it new ‘Tag’ (an amalgamation of all AZs prior companies orchestra, 1AF2, etc) stake is now only it the 30’s%. That’s not nonsense have a look at the audited accounts and the December RNS. Same for DW it’s all in black and white and published by the company either by RNS or published in accounts.

This sounds like paranoia to me. Nothing wrong with opening the bonnet and having a look, probing, giving the tyres a good kick, in fact I'd say it's perfectly sensible and why wouldn't you when your money is at stake in something high risk.

It doesn't mean you're deeply unhappy, can't sleep and need to immediately sell up on move on.

I was thinking more in substance rather than form.

This isn't really a situation I have come across before where a company that is still establishing is purchases what appears to be an established company,

Usually it's the bigger company swallowing the smaller one up and synergising and drawing value from the combined group.

I think on this occasion it's all got a bit over dramatic. Sharebel's initial question was more than reasonable but then rather than have a rational discussion about it (on a forum of all places) they were descended on by a pack of wolves and torn to pieces. I think it showed the inexperience of the average SYME investor and anyone who has history of investing in small caps will know who these things role.

I can’t find nothing online with any decent information on the profit and loss and balance sheet of Traderflow with them being based in Singapore so it’s hard to come up with any judgement on their financial performance, balance sheet strength and therefore their value?

Repression - yes pre tax profit down but there were exceptional charge of $78 of which the following related to a write down of the bingo businesss:

(1) The Group carried out an impairment test for the Goodwill and intangible assets of the Bingo business which resulted in impairment charges of US$79.9 million. The projected cash flows used to evaluate the recoverable amount of Bingo Goodwill have been updated to reflect enhanced regulation in the UK market coupled with Group’s strategic decision to reduce focus on Bingo business and increase focus on other product and geographic opportunities.

So all in all if you add this back there is a substantial rise in the underlying net profit performance.

Jeff - it’s probably ten years since I did a very basic law exam but the basic principle is that law is made based on whatever decisions have been made before. So if you ever read a judges verdict they will based their decision on for example ‘D3T vs Jeff where it was decided that xyz happened and the remedy was £xxx.

So a good relevant example would be the case this week where the Supreme Court has ruled that all Uber drivers are employees, not contractors. So employees of similar companies like, say Deliveroo, will be gearing up for action based on the Uber decision.
