Somekindofnut - thank you for the clarification and some proper facts. As I have bought in fairly recently - I didnt have much if any background on the warrants - now I do and a better explanation of the dilution between 2021 & 2023.

It still remains as you acknowledge that as per my previous comments "Between Dec 2024 & Dec 2023 - the share count actually decreased by a miserly 1.7m share despite them buying back nearly 6.8m shares." So the Management Team and in particular the CEO are seeing the bulk of the benefits of the buys backs. The benefit to us ordinary share holders due to buybacks works out to a little less than a yield of about 0.2% !

It will be interesting to see how this works out over the next 12 months. Does anyone else think the CEO's compensation is a little excessive for a Company of this size - particularly the number of free shares he trousers every year.

Another key to the SP will be how net cash develops over the coming 6 months or so - looks like it will take a bit of a hit from the very healthy balance at present due to working capital adjustments and required capex spend.

I still think the shares are pretty cheap but there are reasons the SP has underperformed many peoples expectations and I'm just trying to understand the reasons. Lower oil prices haven't helped so lets hope the CEO starts to earn his PSU's and helps get this OCP pipeline issue resolved.

You either don't understand / get things mixed up or you are deliberately misleading fellow posters.

You are correct in stating that PSU's vest over a 3 year period - but what you fail to mention is that you get 1/3 vesting from last year plus an additional 1/3 vesting the previous year plus an additional 1/3 from the year before that. So in effect you are getting approximately a full year worth of PSU's vesting every year. They issue these awards every year or have you not been paying attention.

The share count has increased nearly 90m since Dec 2021 to Dec 2024. Between Dec 2024 & Dec 2023 - the share count actually decreased by a miserly 1.7m share despite them buying back nearly 6.8m shares.

As I said previously - the only people making any money are the BOD and in particular the CEO. The clue is in the share price !

I never make stuff up. An old boss of mine once said: “Never miss the opportunity to keep you mouth shut”. You would do well to take heed you prat ! So lets see what the data tells us and not the rubbish you post. Just looking at the last month they bought about 566,197 shares which if annualized works out to about 6.8m shares. The dates below are the RNS dates if you want to do a proper fact check.

The second table highlights the PSU shares issued in the last year. To summarise – a total of about 22m were issued of which 6.2m were issued to the CEO alone. So from what I can see – the share count is increasing and the buy back barely covers the shares issued to the CEO alone.

I'll be happy if the SP rises to half that value i.e. 50p - its been stubbornly low and drifting down. The only people making money is the management team and in particular the CEO. Has anyone else noticed that they appear to be issuing bonus shares at twice the rate they are buying back - it does not look like a great deal for shareholders.

The name of the game here is making money - if you've been in PANR 15 years (and looking at the long term chart) - It looks like you have made no money not to mention the opportunity cost. So having "no clue what I know" is not necessarily a bad thing.

I wont be signing up for your "Depths and Hydrostatic lesson 2" but if and when you share any analysis of drill results - I will be paying attention.

Then the SP takes off Stas - but conversely if the Megrez-1 well does not come in as expected and the pipeline does not get approved - then what happens to the SP. The Megrez-1 well is very important as it seems David Hobbs struggled to layout a complete financing package based on the well results to-date.

The price sensitive information could be either positive or negative - I think the "prudent governance" bit logically protects against any negative news. Obviously fingers crossed for positive news especially as I took the opportunity to add another 40,000 shares on the dip today.

Topped up 150,000 shares in the last month including another 75,000 today using some of the funds from i3e. That's probably enough for me in Oil & Gas for now. Looking at diversifying into other asset classes / sectors.

Any reason for the SP kicking up 3.5% today ? Just got my i3e money and considering putting in a chunk here along with Surge Energy & PTAL.

The point being you said there was a disparity - there’s no disparity. I’m sure you will get a statement but you should be able to calculate yourself from the informations already released.

If you elected to take more cash then you don’t get 1 GTE share per 207 ite shares - you get a little less .

Acquisition of i3 Energy

On October 31, 2024, Gran Tierra completed its acquisition of i3 Energy. Gran Tierra is integrating the Canadian operations and are forecasting an active Q4 2024, including drilling 19 gross wells (8.4 net), targeting each of its core operating areas in Central AB, Simonette, Clearwater and Wapiti.

The Company drilled 2 gross (2 net) horizontal Dunvegan oil wells at Simonette. These high-impact 2-mile wells are currently being stimulated and are expected to be brought on stream in late November. With success, Gran Tierra can drill 2 additional Dunvegan development wells in 2025.

Clearwater activity commenced in mid-October with the Company’s first operated Clearwater multilateral well at Dawson (100% working interest). The 8-leg multilateral horizontal well (11,870 m of total lateral length) was a follow-up to the Company’s initial 6-leg (7,500 m of total lateral length) discovery at Dawson. The 8-leg well follow-up multilateral was located structurally up-dip of the discovery well and encountered high quality reservoir throughout while drilling. The well will be placed on production imminently as the rig has skidded to and spud the third Clearwater well from the same pad. The Company has been working to secure multiple pad sites at East Dawson to facilitate future expansion of the field, upon further operational success. Following these two wells the rig will move to Walrus and drill 2 prospective Falher sands.

In addition to the operated capital program, Gran Tierra plans to participate in 10 gross (1.67 net) non-operated partner horizontal wells across its land base.

In connection with i3 Energy acquisition closing on October 31, 2024, the Company amended and restated the existing revolving credit facility agreement of i3 Energy Canada Ltd. (“i3 Energy Canada”) with National Bank of Canada dated March 22, 2024. As a result of the amendment and restatement, among other things, the borrowing base was revised to C$100.0 million (US$74.1 million) with available commitment of a C$50.0 million (US$37.0 million) revolving credit facility comprised of C$35.0 million (US$25.9 million) syndicated facility and C$15.0 million (US$11.1 million) of operating facility. Subject to the next borrowing base redetermination which will occur on or before June 30, 2025, the revolving credit facility is available until October 31, 2025 with a repayment date of October 31, 2026, which may be extended by further periods of up to 364 days, subject to lender approval. The facility is undrawn.

Aimshame - your logic is fatally flawed imo - if they need to raise - it will be to keep the lights on or to fund a growth project. What do you think will happen to the SP if they are not able to do either of these. If you dont trust Europa to provide shareholder returns - the more sensible option is to sell out and salvage what little you have left - surely ?

My last post here mentioning trump as the real subject here is PANR - the main point is that regardless of how good or bad trump may be for the US and the world overall - the election is good news for Alaska and by implication PANR.

Undoubtedly good news for oil and gas and particularly Alaska and PANR - but as for the rest - convicted felon, sex offender, serial liar, cheat.......? Worrying times for many people !

I'm not sure of the logic of voting against their ability to raise money -if they need to raise they need to raise. The ones I normally vote against the special resolutions that allow them to raise on a non-pre-emtive basis meaning they can raise without giving the ordinary PI the chance to participate. I believe the special resolutions have a higher threshold in order to pass.
