An open offer will be valid for shares in an ISA. Hargreaves provides a note on the topic.

If you have cash in ISA you could use that cash or sell some other shares in ISA to fund purchase or top up ISA with cash if you have not used allowance.

If have used up ISA limit then pay cash from outside ISA and shares will sit in Nominee account.

Just google open offer and shares in ISA.

Ns20. The bears have always suspected that Tradeflow was tiny, it’s the reason why AZ never disclosed their Funds Under Management or other key details when SYME purchased them. Still they generated almost all revenue in 2nd half of the year.

Your numbers are wrong and the fact that you got 15 positive votes shows how stupid some of the SYME bulls are.

100 million shares at 0.05 pence per shares isn’t £5,000,000 it’s £50,000 .

The shares are price in pence not pounds.

Collis and James were given shares which are valued at a floor of 1 pence per share but which trade at 0.0825 pence so 1/12 of the value originally promised and you wonder why SYME says there is a possible corporate event at Tradeflow.

Strong results and dividend up 50%

Lots of positive messages and growth opportunities highlighted as well

Hopefully will get reflected in share price

The legal costs associated with all the documentation required around securitisations plus the operational costs of administering the structure means that at £1.5 million SYME will lose money on this initial deal.

Fees at around 2% charge will earn £30,000 before costs.

SYME need big scale deals to increase share price.

Almost 7 months into 2022 and best they can do is £1.5 million IM

Of course shares go up and down but a £1.5 million IM isn’t going to change SYME’s financial prospects overnight.

Even if it is a so called proof of concept why would other funders instantly step up and provide funding?

I suspect that many will want to see how IM pans out for funders in terms of actual returns delivered.

For example Tradeflow has been successfully trading for a number of years and still hasn’t attracted enough funds for it to be profitable.

James and Collis already had skin in game from 803 million shares issued as part of original consideration valued at over £3 million at acquisition date.

They are now down over £1 million each on that stake as well.

The funds according to Prospectus buy at cost and also deduct 15% haircut as a buffer.

This means that manufacturers only get 85% of cost of product in cash until such time as product is sold.

There are 3 big hurdles before a true sale and not recording a liability passes IFRS requirements.

1) seller has no contractual obligation to repurchase from fund. Trafigura monetised some inventory under a true sale but recorded a liability because of repurchase clauses. I think SYME can get over this hurdle
2) seller follows consignment rules under IFRS 15 one of which is that ring fenced stock is being held for fund and can’t be marketed to other clients.
3) IFRS has a catch all provision that transactions should follow economic substance not narrow legal form.

2 and 3 are the IFRS issues for me

Punters want to see hard numbers in revenue before they react.

The continual growth in products is of course a positive but explosive growth in shares will only happen when it shows in results.

SYMEs issued shares have increased by around 10 billion from 32 billion at IPO to 42 billion now

There also 5.5 billion warrants issued to Venus

So 30% dilution ex warrants and close to 50% including impact of warrants.

Modest compared to say Iconic which went from 1 billion to over 36 billion in a year before its shares were suspended.

The share issued to Tradeflow wasn’t a massive vote of confidence.

SYME paid in share because they are trying to save cash.

The Decision to pay in shares was SYME’s not Tradeflow Directors choice. If you bother to read the accounts you would note that the Tradeflow Directors also thought they had the choice but after more legal advice it was determined it was determined that SYME had control over the choice.

I didnt see any Directors or the CFO buying shares after results were issued which would be real vote of confidence.

Keep clutching at straws.
