SYME doesn’t have any offering as yet because it has no funding.

Why can’t rivals replicate SYME offering (assuming it actually works) if they have systems that can administer supply chain solutions including inventory management, credit expertise, huge financial resources and expertise in securitisation on a daily basis?

So whilst rivals are signing up customers and developing their business with live customers SYME is still talking and scrabbling around to find relatively trivial amounts of cash to stop going bust.

SYME aren’t mentioned on Elliant website or its links unlike the partners I named or in its Press Release or named by SYME which is happy to issue Press Releases about everybody it partners with however trivial.

Conclusive evidence for me.

The market is building new giants in supply chain finance and SYME remains stuck on starting line not exactly first mover advantage is it.

I suggest that Elliant could replicate SYMEs so called USP (assuming it’s actually works) easily.

It has a world leading PE House Apollo, insurer Athene, a major bank BNP Paribas with trade finance expertise, and a major supply chain software house GEP as partners on its website.

SYME has the backing of a start investor no one knows anything about.

Rampers who bang on about SYME having the market to themselves are simply delusional.

You know Venus ( not a death spiral lender) but the latest long term investor replacing Mercator and Negma the previous long term investors.

To be fair Mercator had a longer relationship with SYME than Jim Coyle

Determinator is of course correct that digitalisation is coming to world trade and there is huge opportunity.

That doesn’t mean that SYME or it’s shareholders will benefit.

Based on execution to date SYME have achieved nothing.

Tradeflow are a small start up and face scale challenges.

Winners in business are able to execute better than rivals based on progress to date SYME isn’t good at execution.

In investing companies who consistently deliver do better than companies than simply consistently promise.

The absence of a TR1 is another red flag because either SYME aren’t complying with DTR rules or more likely Venus don’t have a notifiable stake as they have forward sold all their shares contrary to what some LTHs keep citing as a positive.

If Venus is a long term investor where is there TR1 if they supposedly own more than 3% of SYME.

AZ has already sold most of his shares and Tradeflow guys got £2 million each in cash for Tradeflow even if shares go to zero so they are ahead as well.

The two non execs don’t own any shares.

So looks like SYME is starting to drip out the mandatory chunks of the Venus equity facility.

I wonder how many bulls will be happy to buy shares as this equity issuance continues.

Any deal will be a pre pack administration deal so buyers get assets they want, takeover leases they want and staff they want and pay an amount to amdministrators for creditors. Shareholders will get zero until all other creditors are paid in full

It depends on the precise facts. Two examples.

Bidstack latest accounts were signed off with a material uncertainty on going concern which stated that they needed to raise new funds but no fund raise was in process at date of signing accounts because company said that we’re confident that could raise the funds.

Yes SYME will need AGM approval for increase in shares which might be approved but auditors can highlight as the uncertainty and still sign off on the accounts.

If AGM approval wasn’t received provided auditors called out the uncertainty there would be no issue for the auditors.

In contrast McColls say they were be suspended because they can’t get debt for equity swap in time for accounts deadline and presumably Directors and Auditors won’t sign until that is sorted.

We will just have to wait and see.

IFRS will require any deferred.consideration for Tradeflow to be recorded in the accounts as a liability.

It may well be less than the £24 million you state because the estimate will need to be updated based on latest view of what is payable..

On going concern issue the auditors signed off lady year’s accounts with a material uncertainty over going concern and could do the same again and state what the nature of the uncertainty is.
