I got that recently for a few shares I own for takeovers such as BCN and ZINN.

Two large trades marked as sales at end of day of 75 and 150 million.look a little odd because price below quoted bid price at time of trade .

I think that delay if filing SYME accounts is indicative of financial problems because for an online Fintech business with revenue of between £0.5 and £0.8 million not based in China the accounts should have been easy to finalise. SYME have a ex Big 4 qualified CFO so they have the right person in place to sort out the numbers as well.

I note that all the major U.K. listed banks have published Q1 numbers by now as well including HSBC which has significant exposure to China.

The auditors could have signed off after the financing package arrived even if they had to highlight there was material uncertainty over going concern solely due to the requirement for shareholder approval to issue all the new shares.

Bidstack final results came out with such a caveat on going concern from auditors this week saying they needed to raise new money which is weaker than SYME who have raised new money some of which is subject to shareholder approvals

Other areas of likely concern in the accounts which are all based on future assumptions including:
Valuation of Tradeflow goodwill and value of deferred consideration payable
Valuation of capitalised intangible assets given continual losses and failure to deliver and whether these assets need to be written down in value.
Credibility of management’s forecasting ability given continual non occurrence of promised IM launches which influence the two points above plus going concern.

I see the accounts delay using COVID excuse as another major red flag.

If you look at FCA website you can see that COVID extension for filing accounts will end for accounting periods ended after June 2022.

You made a mistake, we all make them but at least own it.

The sole positive thing about today’s RNS is that SYME lives on for now and didn’t go into administration.

The old Warren Buffett adage he used to say to buy great quality companies I.e profitable, strong cashflow and management when the stock market as a whole is depressed. So often miss used by rampers to encourage gullible newbies into buying poorly managed, loss making, cash guzzling POS companies on Standard List and AIM.

Why not say SYME is so cheap at present?

SYME is a dog of a share and if you really want more shares wait until the upcoming offer.

No IM news just reshuffling of IP into Italian subsidiary.

No news of new Chairman.

Dire.

Alpha is required to publish its accounts by end of April unless its argues COVID related days mean that either the company or its auditors need more time. I suspect Alpha will request more time and get it because no checks are made when request are submitted.

Having met management team at investor show I think that growth potential here is strong so I continue to hold.

There are numerous examples of Standard Listed and AIM companies which have undergone share consolidations to reduce nominal value of shares to enable next round of convertible loan notes to be converted into shares and then sold.

VAST resources being a prime recent example.

SYME doesn’t need a consolidation at present as nominal value is some way below current share price but it’s a possibility at some stage.

SYME paid around £7 million upfront for Tradeflow in cash and shares.

There remains contingent consideration liability payable which SYME need to pay in shares or cash.

So using £31 million cited valuation for Tradeflow doesn’t support Current market value because it is ignoring the deferred consideration which will have I suspect to be issued in shares.

Yes I made a stupid typo using two instead or too but I didn’t make a stupid investment.

Despite numerous statements in RNS statements that don’t work out for some dog at my homework excuse you seem happy to accept every RNS at face value.

James Coyle having resigned from Scottish Water on 31 March 2022 and now has 5 NED roles in total.

2 at HSBC, 2 at M&S Financial Services ( which HSBC operate on behalf of M&S on their banking systems) and Honeycomb Investment Trust which has six Board meetings per year. So 3 organisations in total.

The RNS explanation provided of being two busy was I think simply a convenient and non embarrassing rationale for both parties.

I note that SYME does have a track record of issuing RNS announcements with a positive spin.

The bulls will continue to slavishly believe the company but anyone who has worked in the City or has mileage in the investing game will have read between the lines and know there was a deeper problem.

I would view delay negatively because as you say it’s a FinTech with operation and staff in U.K., Italy and Singapore so used to working together online. It has no major fixed assets or inventory that need physical verification by auditors. 4 months after year end is a relaxed reporting timetable and the CFO is credible ex PWC with previous listed company experience. So any delay would be a red flag for me.
