That’s good to know Elmesley - given what I paid for the THG shares I won’t then have to worry too much about CGT on Ingenuity share disposal! I had expected that since the THG shares were acquired within an ISA I couldn’t then use that as my base cost but you have reassured me thanks.

I hold my THG shares in an ISA. Does anyone with a greater tax knowledge than me know what the base cost of the Ingenuity shares will be (they’ll have to be held outside the ISA wrapper unfortunately). Worst case scenario is that they have a zero base cost and I will have to pay CGT on the full disposal proceeds if I ever sell in the future. Any tax experts out there?

I think some people were hoping for more clarity on the value and time period of these contracts in the circular, but aside from reiterating that these are and will be on an arms length basis I don’t see any more detail I’m afraid.

I agree with all that Elmsley. Just noticed that a summary of the proposed shareholder agreement is included at page 33 of the circular. Just starting to read it and unsurprisingly Matt is getting back his golden share/veto as the “super qualifying shareholder”.

This is to be made available on 2 December. It’s a crucial document and will be interesting to see what protections if any are available to stop Moulding and his crew riding roughshod over other non favoured shareholders. This will be an important consideration for me when deciding whether or not to take up my entitlement to Ingenuity shares. Ingenuity is being taken private for peanuts and my natural inclination is to take what I’m entitled to rather than allow the favoured few to effectively take it for almost free.

And with MM no longer being the landlord for the properties that Ingenuity leases, one of the obstacles to making a bid for Ingenuity has been removed

Yorek I think Leftfield set up property funds which people then invest in. Perhaps this is just a new property fund they’ve set up and this is its first investment.

It isn’t really too much to expect the Chairman to say something about a major restructuring of the Group. The whole thing is quite bizarre.

Did anyone attend the AGM in June? What did Lord Allen have to say, if anything.

So Lord Allen has found his voice, even if it’s just to accept yet another role. This at least deals with the rumour that he was unwell. He wouldn’t be taking on another role if that was the case.

The daily falls are like Chinese water torture. Can the market not just make the necessary adjustment in one fell swoop rather than this death by a thousand cuts. It’s triggering me 👿.

Nothing seems to unlock any value with this share. We were told that the total value was less than the sum of the parts. Then it’s announced that a part is being sold off and yet more value destruction ensues. Not sure why people now think that the publication of the circular will somehow be the answer. All this will do is confirm what has already been announced. I wish it wasn’t so but this seems to be grasping at straws. It’s also a mystery why Moulding seems to have such a downer on the 35%, a lot of which is made up of long suffering innocent retail investors who either once believed in him or still do. They have done nothing to incur his displeasire. On the contrary he should be grateful that people have been prepared to invest their hard earned money in this enterprise.

Welcome as it is it’s only one blue day in a sea of red days. Forgive me if I don’t get overly excited about the share price going above 47 pence, when I’ve just recently shelled out yet more money into this dog at 49p a share.

Yet another down day for this dog of a share. Watching my nest egg evaporate before my eyes. It’s relentless and depressing in equal measure. It’s tempting to throw in the towel and walk away with massive losses but I live in hope.

If we’re being honest the thing holding back the share price is the misfiring nutrition division. In a fast growing industry and with a very well established brand name how can the performance of this division be so poor. If they manage to turn this around then the share price will respond. Its not rocket science.

Whatever way you look at it you’re not getting full value for your share in Ingenuity or anywhere close to it. It’s a complete stitch up. The only way to retain what’s yours is to take your share of Ingenuity shares but this comes with problems of its own - an illiquid unlisted stock plus fewer protections against future dilution by MM and his mates.

It’s worse than that Vine. We’re giving them £75m cash on the way out.
