Thanks for those definitions.

How can you tell if there is a house correction or price crash, as per your definition? Given when the prices start to fall, nobody knows how far they will eventually fall.

A crash and correction can only be defined in hindsight.

As the extent of the fall is never known when prices begin to fall, HBs would be impacted in either case.

Plus house prices falls in other countries would impact the UK.

If Trmr was so undervalued in a hot sector then why did they have a discounted placing and still failed to raise the top end $170m?
Tosca were selling days before the IPO even though they held for years.

The need for a US listing became urgent around March time... The Alphonso court case filing was in May.

So I think once the dispute with Alphonso was known they felt the need to US list (with the placing) asap. I think because the process to list was the reason behind the early Q1 TU (10 days before Q1 end).

On 10th March, they published the fy account, without firm mention of US listing, they simply said:
"The Company continues to explore, from time to time, the possibility of transactions in the capital markets, including the potential for a dual-listing of shares in the United States. No assurance can be made that any such transaction will be completed in the near term or at all."

Yet ONLY 6 days later on 16th March , they published their draft registration for a US listing:

That tells me there was a sudden need to list with days of the fy results being published, timing which coincides with the alphonso dispute.

Taptica merged with rthm in Apr 2019 valuing rthm at $175m to form Trmr. Where's the $700m revenue that was talked about then? It never happened.

Rthm(now trmr) earned $255m for fy2018 alone, just a year before they merged in Apr 2019. They were valued at $175m when they merged.
Unruly(now trmr) earned $43m revenues, earned 6 months before being acquired by trmr. They were valued at $19m.

It's hype. It wasn't that long ago RocketFuel was valued at $1bln. Sizmek took them over for a fraction of that price. Sizmek, who were also offering CTV and listed on Nasdaq filed for Chapter 11 in 2019.

It was only a year ago that ad tech companies were valued at 1/3-1/2 of revenues.
In fact Trmr paid only 1/3 of revenues for Unruly.

I disagree.
Removal of cookies was just ONE of the increasing challenges facing ad tech companies and it's removal has been talked about for years.

All Google have done is postpone it for a year. Apple are also removing Cookies.

TTD already have a model in place to cater for the removal of cookies by Google and Apple with their Unified ID2.0 and some ad tech companies already partner with them on it.

CTV doesn't use cookies but it has it's own problems.

It's clear from comments on the BBs that investors don't understand the way programmatic or ad tech model works.

Is it a coincidence that Tosca, who had been holding for years, have been selling recently, JUST DAYS before the IPO? They held previously held over 29% of rthm(now trmr).

US pre-opening currently $18.39 or 665p UK.

There needs to be some news to break the vicious circle.

They desperately listed before H1 results.

Why have a huge discounted placing when they have $130m in the bank?
Given Tosca had been holding for years, I think they knew what had happened previously, hence their selling DAYS before the IPO.

During that period they were still in their 'ADD' stage of their 'Add & Build' strategy.

2) In Oct 2019 they setup THC, insourcing division.

Both these cost time and money to integrate/setup but are now setup.

I've been consistent and listed the reasons:
They were desperately trying to list before H1 results.
The timing of the IPO announcement clashing with the timing of the Alphonso, data provider, dispute and the fact court filing was last month.
The fact Shares on Loan have trebled since Dec
The fact the CEO sold 1/3 of his holding in Dec.

As expected, no fireworks.

The reaction to the placing reminds me of the secondary placing they had just 2 years ago.
That too wasn't received well and the company ended up buying majority of the placing shares!!!

The placing was as the result of the ex-CEO having to resign after being found liable for lying.

If they had published their H1 results then they would have had more credibility on their figures and a listing at a premium.

The fact they didn't, shows they were in a rush for the IPO.
