CHAR does bot have any cash and they seem to be running out of time. unlikely there will be an 80/20 model unless this is free carry.

there is an urgency to split the business , and bring new equity in.

It is looking likely that the renewable business will be spin off for the gas business and ACWA power would come in as a major shareholder. Even a valuation of $50m-$100m for the renewable would be huge for CHAR.

most likely the company will be valued at a certain amount say £40m.

then 50% will be given to existing CHAR shareholders.

they will raise £20m based on £40m valuation.

dilution is there but new company will end up with loads of cash $$$.

if we can get to £50m valuation and raise £20m this will be a great outcome

this is a fair point. they may have interest already but the bidder may have been pit off buy the renewable business. they are demerging and AP will get a new company to manage for the next 10 years.

the oil and gas business may thrn be taken over.

this would be the ideal solution for shareholders. get some cash and shares in a renewable business.

at such distressed level this sis being done to get friends and families in.

soon management and related parties will own 50% of the company.

Management did not report this cash position which could be as high as $20m .

they did so because they wanted to fundraise the $5.5m and allow friends and family in.

$1.5m is not the cash position. there eas no point for this raise except to allow friends and family in.

a takeover is a possibility also as most likely insiders will be close to 50% holding when the fundraising goes through.

if this happens however AP will not be able to raise in the market. his reputation will be gone

1)he management are insiders here and have most liley not revealed the compensation they got from Energean.if they did this would be trading above 2p.

2) those invested are friends and families. they are insiders. after the fund raise they would end up controlling 50% of the company therefore they can push for any denerger.

3) this may explain silence of management recently. they wanted this to go first.

4) we should expect a series of news once this goes ahead.

this should vlim back to 3p quickly and then to 5p.

it's clear that management has not been totally honest here and put their interests first. in the end the holders will all benefit.

in the past dilution was not so much an issue .

with such a depressing price and dilution at 30%, you just wonder whether it is not a way for management to let friends in to take over the company.

After all they still being silent about the cash they received from Energean. if there was no cash compensation from Energeanbwhy not say it loudly that as part of Energran exit , there was no compensation paid to Char.

if there is no value in Chariot, then who will invest £4m in CHAR. your story makes no sense.

The plan waa always to demerge. this is the only way to unlock value as the market is attributing a zero value to it.

market cap with the new raise will be £20m.

if the renewable is worth more than £20m then it's a win situation for all shareholders.

we will get new shares in a company with more than £20m whilst still owning shares in the gas business.

management must have a plan.
