Greatland Gold plc (AIM:GGP) (Greatland or the Company) and certain of its wholly owned subsidiaries have entered into a binding agreement with certain Newmont Corporation subsidiaries (Newmont) to acquire, subject to certain conditions being satisfied, a 70% ownership interest in the Havieron gold-copper project (Havieron) (consolidating Greatland's ownership of Havieron to 100%), 100% ownership of the Telfer gold-copper mine (Telfer), and other related interests in assets in the Paterson region (together, the Target Assets) (the Acquisition).

The Company has agreed to acquire the Target Assets for total consideration and debt repayment of up to US$475 million (before adjustments), comprising:

§ US$207.5 million cash, including US$155.1 million Acquisition consideration (subject to certain adjustments) and a US$52.4 million repayment of the outstanding Havieron joint venture loan;

§ US$167.5 million in the form of 2,669,182,291 new Greatland shares to be issued to Newmont at the Issue Price (as defined below); and

§ up to US$100 million in deferred cash consideration.

Completion of the Acquisition is subject to the satisfaction of certain conditions precedent described in the "Further Information" section at the end of this announcement. Completion of the Acquisition is targeted to occur during Q4 2024.

“No cash is payable at closing of the Acquisition, with all consideration deferred and wholly contingent upon commercial production from the Anzá Project”.

After reading this morning’s RNS regarding Orosur mining buying back their farm from Newmont & Agnico, couldn’t it be GGP negotiate a similar deal.

Consideration for the Acquisition will be comprised of the grant to each of Newmont and Agnico of: (i) a 0.75% net smelter return royalty ("NSR Royalty") on all future mineral production (1.5% in aggregate) and (ii) a fixed royalty of US$37.5 per ounce of gold or gold equivalent ounce (US$75 per ounce in aggregate) on the first 200,000 ounces of mineral production ("Fixed Royalty"). Each NSR Royalty will be subject to a right of first refusal in favour of Minera Anzá in the event that Newmont or Agnico wish to sell their respective NSR Royalty to a third party. Minera Anzá will also have (i) a right to buyback a 0.25% interest of each 0.75% NSR Royalty and (ii) a right to buyback an additional 0.25% interest of each then 0.50% remaining NSR Royalty, which in both cases, will be required to be exercised concurrently with Newmont and Agnico. The amount payable for the buyback of each 0.25% interest will be US$5 million. If all buyback rights are exercised the aggregate cost would be US$20 million and would reduce each NSR Royalty to 0.25%.

Oh Freddie yee of little faith. How many times do I have to say it, I’m not desperate for that return, I’m in it for much greater returns over many years. My security is already sorted, this investment is for my kids & grandkids future’s.

Yes I’m not denying that if I’d have sold & bought back, then the returns could be far greater, but that’s the risks we undertake. I suppose it’s a blessing I took the risk to invest into GGP far earlier than you then, because I’ve not soiled my budgies once. As for you, Mmmmm I think there’s an never ending pack of Andrex close by your WC. I just hope you haven’t made your condition worse by supping too much Ouzo whilst on those Geek isles.

Very interesting that the MOM guys seem to think that the deal will also include Newmont’s O’Callaghans, which is Australias largest tungsten mine. Just what other surprises will this deal bring ?

I also note that everyone that has talked about Telfer over the last couple of years, always seem to say about just how much gold is still there to be recovered, “There’s Gold Bloody Everywhere” is the expression used.

Dip, I’ve always felt that the $50M loan from Newcrest would eventually be swallowed up in any negotiations to purchase Telfer, so I would hope that I’m gut feelings were correct.

Hopefully only 5 mins before we all find out for sure via RNS
