If you were a long term shareholder in a particular share because you believed the company had potential and then one day an RNS came out to say Warren Buffett was a 14.22% shareholder, would you sell your shares? Would having Warren Buffett on the shareholder register give you confidence and confirmation that you had made a wise investment decision?

There is raw data everywhere but sometimes it is deliberately hidden. Antos issued a TR1 on 13th March 2019 and only issued this because he had been diluted on the 6th March 2019 when they placed 1.7 billion shares at 0.01p. They did not offer any shares to Antos.

Why do I post only on this share and neglect all my other shares? Because there are too many “drones” on our B.B. and within the various twitter groups and I have one goal and one goal only and that is to see my choice of director on the Board. (I am not in any Twitter group)

If the current BoD interests were aligned with ours then they would have updated their AIM Rule 26 with all current shareholders but they choose not to provide this information. So to Wendy and her fellow “drones” look at the TR1 of the 2nd April 2019 and look at the raw data on how this new “Warren Buffett” (you will see him pop up in many shares going forward, just note the name of my close friend) split their three holdings down into various accounts. Then look at the raw data on the share holder register and then look at the raw data of the votes. Guilty as charged.

Wendy and the “Drones” hang your heads in shame no knighthoods or honours there too loose are they? How do you sleep at night?

The ‘wedding scramble’ is traditional in most parts of Scotland. As the bride steps into the car, her father throws a handful of coins for the children to collect. Note “children” as that what he is a child.

I used to work for a Bank and then our department was outsourced.

Outsourcing: When your current employer wants your services, skills, knowledge & loyalty but does not want to pay a reasonable wage, staff discounted mortgage or personal loan, bonus or continue your final salary pension scheme along with any other perks that have been accumulated over the years.

I was called a Process Development Manager (looked at processes, improved them and saved the Bank millions) I did not like a certain CEO who was knighted but then had his knighthood removed due to allegedly his part in the financial crises of 2007-2008.

When my new employers discovered I was good with numbers they got me to produce management information, statistics on every function that we performed like: total number of daily bank statements printed for each of their four Banks along with Service Level Agreement Data (SLA)

There were many occasions when we failed to achieve our Service Level Agreements. I produced monthly graphs from the raw data and from 12 of these packs I sent 10 to very senior people in the Bank including the CEO (other two packs for our notice board and our boss)

There were occasions when the Bank would trigger five or six times the normal daily volume of Bank Statements and our machine capacity for enveloping these statements could not physically cope with this volume within the 24 hour turnaround. If we missed an SLA then we were hit with a financial penalty. We only ever informed the Bank of one missed SLA.

Almost every other month we would not meet all our SLA’s and the information that I presented to my boss on the correct data would be altered. It was my job to produce replacement graphs with the altered data but I only did this with a confirmation email that instructed me to alter the data. The Bank knew 100% that the data was not correct but they did not want to rock the boat because if they hit us with a penalty then we would not tender for the next five year contract and the Bank would have to find another provider of our services at most likely increased cost. The Bank had their own internal auditors and not once did they audit our department, why? If an auditor had looked at the statements produced on a given day and looked at what Royal Mail had collected from us on a given day they would have seen from the raw data there was a miss-match.

I know what went on at the General Meeting. I am a numbers man (grammar etc is not my strongest subject) When you look at the raw data it is all there staring you in the face. So Lucy and her colleagues have to decide what I know from the raw data, so simple arithmetic for them what is 1 + 1 ?

Back to Resolution 4

The whole point of Resolution 4 was to have the ability to place up to 5.33 billion shares. There was no need to vote against Resolution 1 as that was just to get the authority to have the ability to issue shares.

Resolution 4 was greed. They needed the pre-exemption rights to exclude all long term shareholders. What did they need the money for? It was for due diligence on possible takeover targets. If the BoD had limited their greed to say 2 billion shares then we may not be debating last week’s General Meeting and may not be looking at a director leaving and possibly a new director joining.

We all believe that on any RTO that the share price will increase and I personally believe it will increase substantially and what we have now is the possibility of all shareholders taking part in a future placing related to an RTO.

If we are fortunate to have a new director whose interests are aligned with ours then we are in a superior situation than we were last week when 1.66 billion shares could have been issued to “drones” at 0.012p and for them to also be able to exercise their warrants of 844 million at 0.02p and these warrants would be exercised upon our shares being re-admitted following the expected Reverse Takeover. Also the two directors were in-line to get 220 million shares at 0.001. In total there were going to be 2,709,999,999 shares issued by the BoD as they stood on 5th April 2019.

To possibly issue just over 2.7 billion shares was in my opinion pure greed. I believe the “drones” that would have received these shares would have disappeared very quickly after any RTO.

Prediction: New Director before end of April. RTO target identified. Rights issue at north of current share price and warrants at a premium to rights issue price to reward long term holders.

The first main nectar source in England is late April early May and it is at this time of the year that English Beekeepers pollinate various fruit trees and with this activity the bees gather nectar and turn it into honey (money) looking forward to the end of the month.

Now in beekeeping you have to do stuff to ensure the hive remains healthy and if it is and there are nectar sources nearby then you get honey (which is really money) So with PSL you need to do stuff also but it may be better to explain this from a beekeepers point of view.

In a hive there are only three types of bees, drones (male) whose sole function is to mate the virgin queen (and in a hive of 60,000 – 80,000 bees there will only be less than 200 drones and often only 20 or 30) worker bees (female) who only live for a maximum of six weeks as they work themselves to death and the Queen Bee (female) who is basically a leg laying machine who can live about four years (laying capacity decreases as the queen gets older)

In PSL we have the same set-up: a Queen at the top (CEO / Chairman) the drones who do the mating stuff (Nomad, Broker, Market Maker, PR etc they are all mates) and then the bees the busy bees who do all the work.
Then one day the hive collectively decide the Queen is past it and they decide to replace her. They do this by selecting three or four larvae that would have been normal worker bees and feed them Royal Jelly. After about 16 days (not 24 days like the worker bees) a virgin queen emerges. But there can be a problem when this happens as there can be two or three other potential queen bees and the first to be born has to despatch the others before they hatch or if they have already been born then they fight it out. So again in PSL there could be some internal struggles going on to establish the Queen Bee but eventually one is left. But before she can control the hive she has to go on a mating flight with the drones. Well that really is where it all happens, up in the sky out of sight and up to 8 or 10 drones mate the queen. Exact same with PSL there is a bit of an “orgy” going on and nobody cares who does what to whom as long as they get what they want. The new queen comes back to the hive, never leaves the hive ever again, never mates again and just lays eggs so that the hive can collectively produce honey (money)

We appear to be dispatching one queen at the end of the month and it looks to me a new one is going to lead all the workers (us) to the land of milk and honey and what is the colour of honey?

The best bit is that after a drone mates it dies, some do not even get to the virgin queen but the ones that do all die in the end. Justice!

Beekeeping

Part 1

Keeping bees and keeping shares are very similar.

I no longer keep bees but at one time I had 97 hives with my father. Most people get into beekeeping because they know someone who has a hive and they start to talk about their bees and before you know it you take possession of a swarm of bees and that is not dissimilar to shares. You know someone who is invested in a share, they talk about it you get interested and before you know it you also own those shares. Never did we imagine we would have 97 hives and I had a full time job and a young family and it took all my spare time.

You can’t just have 97 hives in your garden even though ours was over half an acre and no neighbours for half a mile north, south, east or west (so the bees did not bother anyone) About 10 hives is the maximum in the West of Scotland due to the nectar sources, so we had to find locations for our other apiaries. The only people who have suitable land for an apiary are Land Owners (Lords, Sirs and Farmers) So you have to cultivate relationships with these people and some can be down to earth and others aloof or maybe downright rude. Now when you converse with Lords, Sirs & Farmers you soon find out that many of these normally nice people are asset rich but cash poor (remember this)

When you are looking for a new apiary some things are essential like located away from family homes, play-parks and high foot-fall (because you do not want anyone being stung) You also have to do some homework as to possible nectar sources like certain trees such as fruit trees and wild flowers and you need to be aware that if you are located next to a loch (lake) that half the foraging area of the bees is water and they would have to cross it and may not be able to return to the hive. So like beekeeping you have to do some research into any share you are thinking of buying. Let’s say you are going to buy shares in a large Swedish furniture store and they said they had just opened a new shop at John-O-Groats then if you did your research you would know that the population catchment area would not support this type of store, if it was Edinburgh or Birmingham then yes it would be suitable. This may seem a silly comparison but it is only to emphasise a point that research is required.

General Meeting

I am not prepared to say if I was in London last week. People who know me personally are fully aware of what I was aiming to achieve as an end result of the General Meeting.

I have been at a number of AGM’s over the past few years and I have made some participants “uncomfortable” by my probing questions.

What I believe most on this B.B. were hoping to achieve last week was that they would not be ignored and that any future placings would not exclude them.

By voting against Resolution 4 that has made the current board have a re-think. Their “threat” in the RNS dated 28th March 2019 that said they “will be forced to consider the viability of the Company's future”.

Well today’s RNS should provide comfort to those who required it as the company survived and “The Board, will therefore, be considering other funding strategies which may include pre-emptive share issues such as an Open Offer and may ask for further authority to issue shares outside of the current pre-emptive authority”

With our share price up over 100% from the failed placing of 1.66 billion then there is a possibility that if there is no “Loan” agreed then an equity placing would be at a substantial premium as to what they were originally planning and technically they would only have to seek about 840 million shares in any placing to obtain the same funds.

I believe that there could be a placing to all of us on a pro-rata basis and at substantially north of the current price.

Now we know we had the mortgage guy sitting out in reception and everything he posted seemed to me to be 100% accurate, it is a pity that he was not in the room as a question was asked to various people if they were “RKBeekeeper” Now I could know that if I was there or if I had a nominee there for me but the person who asked that question may want to post if they are looking in.

Some Thoughts

As PSL have not updated their AIM Rule 26 details for major shareholders since 28th February 2019 (they can avoid updating this for 6 months as the AIM Rules permit this and sometimes it is in a company’s own (selfish) interest to keep shareholders in the dark.

All a new investor would initially see on their website is total shares in issue as 3,632,221,134 and not the correct figure of 5,332,221,134.

By having out of date information of an additional shares in issue of 1.7 billion shares then all the percentage shareholdings are totally meaningless.

Take just Bank of New York, you are informed they have 12.8% when they technically have 8.72% almost the same amount as our most recent TR1 investor.

Now on the conditional placing for 1.66 billion shares (RNS 16th March 2019) there was a clause that said Antos is maintaining his 14.22% but he is not listed under AIM Rule 26.

I have said on a few occasions that Antos had sufficient shares to vote down resolution 4 and if the new TR1 investor voted also against this resolution then it would not pass. We will never know how anybody voted but if Antos voted against Resolution 4 then he will not get the 14.22% of the 1.66 billion shares.

I have to assume that he voted against Resolution 4 as it was not in all shareholders interests and as we believe he wants to RTO into PSL he will want to take the LTH with him.

We do not know what will happen in the next few weeks but it is possible that Antos will agree to underwrite any placing and take-up any shares that private investors do not subscribe for. If warrants are attached then Antos is sending a clear signal that he would like to reward LTH for their loyalty.

My first AGM

The reason why I withheld the money from the head teacher was because the PTA was always working on a shoe-string and basically had no money. We had a few more fund raising events (race night, bingo and spring fayre) and still I insisted that the PTA withhold a donation to the head mistress.

Now that we were on a sound financial footing I had the funds to embark on a more ambitious fund raising event of a raffle with a cash prize. This was successful and we handed over to the school £2,000 (more money in one year than the previous five years) we handed over even more money the following year and our PTA was emulated by the other local primary school. Our PTA remained successful for many years as the new representatives followed similar paths that we had set down and all our children benefited from the funds we gave to the head mistress.

The purpose of this post is that the representatives of a corporate body (PTA or a Listed Company) are the office bearers of whom they represent. No one representative should over-stay their welcome, they should have sound finances, no debt and a clear plan for succession that will benefit all the people that they are the standard bearer for.

I look forward to the announcement on Friday of new blood.

My first AGM

For this post AGM, EGM & GM serve the same purpose.

I attended my first AGM in 1992 and I have attempted to attend as many AGM’s as possible over the years.

My first AGM was not the sort of AGM we all think about it was a PTA AGM (Parents Teacher Association)

Our daughter was going into P2 and over the previous year there had been a few fund raisers carried out by the PTA and I felt that I should attend their AGM to see what they were about.

There were six seats set-out for the Board Members and another six seats for parents & teachers. I proceeded to put out rows and rows of seats for the parents when the President of the PTA said that six seats would be sufficient. I did not understand at the time why he said that as there were about 210 pupils at the school and their parents & guardians could number over 350 so for only six seats to accommodate a proportion of the parents & guardians and teachers I thought was basically wrong.

Only three seats were required, head mistress, one teacher and myself. I was in shock that a school PTA was so poorly attended. The AGM began with the treasurer reading a very brief statement and then the President said as was tradition he would vacate office and the vice president would automatically assume the president’s position. The new president then said there were five vacancies and asked if anyone wanted to be elected. Apart from president all four members wanted to resign and there was a vacancy for vice president also. I stood as vice president and all others retained their position as they had done for donkey years.

After our first meeting the following month the president took ill and I assumed her position. Our first fund raising event raised a few hundred pounds and the treasure wanted to hand most of this money to the head teacher. I objected and said why it should not at this stage be handed to the headmistress. The treasurer resigned and I assumed his roll also (now had three hats President, Vice president and Treasurer)

The answer is two degrees as I know him and talk to him most days. Now if you had found the original post from 15th Feb 2019 you would also know that I am one degree of separation from the Consulate General of Japan in Edinburgh a Mr Nozomu Takaoka so I am probably only 2 degrees of separation from most Japanese Ambassadors.

Now maybe the Nomad will now be aware of the significance of 25% versus 75% of votes cast. In case you can’t do the arithmetic, it is impossible for the BoD to “win” on Friday as even if 100% of all shareholders voted the numbers are against them, so just like Brexit, time to sit down and talk.
