What posters need to think about is what would happen if /when a “special dividend” is announced. Due to the large cash balance of £5.4 million as at 31st March 2019.

Now on the RNS from 1st May 2019 where we had a trading update and Mr Gun said that “The Group's audited results will be announced in due course” Even though they are several months away, he would not want to be seen to be buying shares just a few weeks before the Annual Results so in my opinion he has bought now in preparation for excellent results and a substantial increase in the dividend.

I sold up on another share over the past two days (for personal reasons and so as to draw a close to an issue I had last month)

I do not really want to Post much on any share as I prefer to utilize my time doing research and networking with various Directors.

When I am looking to invest the first thing I now look at is the Broker and Beaumont Cornish Ltd is in my opinion an excellent Broker.

Next I do not want any convertible loan notes and preferably little or no debt.

Ideally like to see cash in Bank (as at 31st March 2019 cash in Bank £5.4Million)

BoD to have a reasonable stake in the Company, CEO John Gun on website says 52.6% or 299 million.

Like to know who the CFO is and I have previously done extensive research on Nilesh Jagatia.

Dividends: Do not usually look for a dividend in an AIM company but Octagonal Plc paid a dividend last year and will most likely will this year (as Brexit will be over, we hope)

Get out of Jail Free Card

I more or less worked out that there would have had to have been a placing but I did not think it was going to be an open offer and I did not think it was going to be for 5.3 billion shares.

When you play chess like I do (every night before I go to sleep) you play out many scenarios and try to work out what your opponent will do.

Yesterday I posted and you may want to re-read what I posted, but I spoke to a trusted friend (who does post and I can assure you he does not post on BOU and I have met him in London on various occasions personally and at AGM’s and with Directors privately) We discussed various scenarios and gamed planned what could possibly happen with any RNS this morning.

Most companies want to raise as much money as possible and yesterday I was getting 0.065p and the CURRENT DIRECTORS want to place at 0.0125p? Even a 50% discount on say 0.06p would have been 0.03p but at 0.0125?
Now from experience not everyone will take up their entitlement so is there a “Get out of Jail Free Card” being played with this placing? There is enough wiggle room to “find” 1.66 billion shares and avoid any little local difficulty. Many of you may think I am wrong and a director thinks I am wrong and I know that if I checkmate Peterhouse then it is game-over for everyone and the only person that would get satisfaction from that is me but everyone else would be disadvantaged as the Broker could resign, the company could de-list and I would be slated for calling them out. So I do the only thing I can do and sell, which is what I have done this morning.

I still believe Antos will be on board soon and I still believe he will use BOU to RTO into one of his valuable companies and all existing shareholders will do well.

This hopefully will be my last Post here, I only became involved to have access to Antos with a goal of a face-to-face meeting to discuss another possible RTO target and although we have never met we have talked extensively and it is because of his honesty and council I have permitted Peterhouse to play their “Get out of Jail Free Card”

I would not normally “warn” anyone about any share they are looking to invest in but when you have been investing like myself for about 40 years you build up some insights into what can be a good investment and also the reverse.

I now avoid companies with:

Serious debt, especially convertible loan notes.

Excessive warrants

BoD who do not hold a meaningful stake in the company

And last but not least I avoid a certain Broker.

Previously they had a conditional placing for 1.666 billion shares at 0.012p which would have given the exiting DIRECTORS £200,000 which although they said it was for “due diligence” I personally believe it was for their P60’s.

You only have to re-read the RNS’s where they said on any RTO all warrants would be exercised immediately (my words, refer to actual RNS) This was the directors who originally wanted 1.666 billion warrants but then “agreed” after being rumbled by Posters to only attempt to take 833,333,333 warrants.

Now due to some arithmetic when the new BoD request authority to issue shares it will have to be initially on a pre-exemption basis due a little book-keeping exercise that has to be performed before the Auditors look at “their books”. (Remember I used to be an auditor so I know what body I have to liaise with)

So your next question is going to be at what price will new BoD place the potential 1.666 billion shares, is it not? Well if it was at a small discount to our current share price they would raise a minimum of £800,000 (not £200,000) but personally I believe it will be at a substantial premium to our current share price.

Shareholder Meeting

On Hargreaves Lansdown on my SIPP account when I look at BOU under the “live prices” at top left hand side it says “shareholder meeting”. None of my others shares have this displayed

Shares held tightly

Many posters would have bought into PSL / BOU in late March or early April in anticipation of the General Meeting on the 5th April. An average price from late March to the General Meeting would have been about 0.014p.

If you were brave and bought a reasonable amount of say 100 million this would have cost you about £14,000 (all calculations ignore buying and selling charges) This 100 million is in my opinion a reasonable size to invest at that particular time as the BoD were looking at a conditional placing of 1.666 billion shares at 0.012p.

Now as stated before we know “officially” that there was no forward selling by a particular broker (quote from Pinocchio to the best of his knowledge!) so logically any shares purchased around the 0.014p mark will increase, but by how much will they increase?

As “there was no forward selling” and our share price continues to increase obviously in anticipation of directors exiting and joining along with the anticipated Reverse Takeover. Would it not be logical to top-slice?

Some Posters are holding and some are top-slicing. If a Poster who had bought 100 million (to stay below the 3% TR1 threshold as I do) had top-slice at each 100% on their purchase price then could almost be on a free ride and still have 70 million shares.

Now I know we have not reached 0.07p (yet but watch it this afternoon in anticipation of news) but I top-sliced this morning at 0.065p and have 56% of my money off the table but still have 83% of my shares. As Posters top-slice, others buy them and hold for a profit. We know the current BoD do not have any authority to issue any more shares so there could be a concerted effort to massively increase the share price and this is why I believe most shares are staying in sticky hands.

It is often not advisable to predict any share price as you are really showing your hand to others. If I was thinking of selling my house (live near Glasgow so not silly London prices) and I said to my neighbour I was thinking of selling say for £250K. They think that is a really good price and think now is the correct time for them to sell also and capitalise their gains. They put their house up for £230K and it sells on day 1. I have people saying to me why should I pay £20K more for your house than next doors as they are exactly the same?

What I can say and with confidence, our share price will increase on incoming RNS’s, where you exit is never easy if you are trying to call the top but if you are happy with your gain and can contain greed then you live to fight another day.

From experience very few “small shareholders” attend AGM’s or talk directly to CEO’s Chairmen / Chairladies of the companies they are invested in. If I believe it is my interest to attend any type of company meeting I will attend (often at great expense)

Normally I have an issue with the BoD and I take them to task at their AGM and re-emphasise who really are the true owners of the company (you and me)

I was at a Media Companies' AGM last year along with 5 or 6 other dissatisfied ordinary shareholders. I made sure my points were robustly put forward and at the end of the formal meeting that is where the real communication takes place. In this particular company things did not go the way I had hoped and I sold up. Yesterday their shares were trading below nominal value.

In the past week I have spoken to three CEO’s or Chairmen (not all in the UK when they took my call) but they all took my call and I did not have to leave a message.

If you were building a “new-build” home on land you had purchased with your own money and then contracted out all the work to “professionals” like solicitor, architect, surveyor, brickie, electrician and many other tradesmen would you not think it advisable to be in some form of communication with them? If you are on top of things then your “new-build” will be worth substantially more than the input cost.

By just looking at our substantial shareholders and knowing they are just like “new-build” builders and knowing that they are talking to the correct people you can have confidence in our company?

Life of a Drone

I have said before that a drone does not have much of a life expectancy and after they mate the virgin queen they die.

Looking at our “Drones”

Jonathan Freeman, had a very long life at PhotonStar / Bould Opportunities arriving in the hive on 28th March 2012 (which is just over 7 years) and obviously did not mate a queen as he “survived” and exiting within the next few days.

Martin Lampshire on the other hand only arrived in the hive on 11th January 2019 and looks like he mated the new queen and as you know after a mating flight you expire and this is a more natural life cycle in the hive of about 4 or 5 months.

That would only leave John Treacy who arrived even later that Martin Lampshire, will he survive the new queen?

PPS Jonathan Freeman has how many directorships over the years? Answer minimum 28 (12 active) also listed as a farmer so knows a lot about dealing with fertilising fields.

You are definitely at a loose end Twosheds when you corrected the percentages and you are correct my 300% in the context that I used it was incorrect, but:

But if our soon to be re-vamped Board were to be able to place the previous “conditional issue of equity” as per their RNS of the 19th March 2019 (the replacement one where they were forced to change the terms of the attached warrants) and this issue of shares in the mind numbing number of another 1,666,666,666 not at 0.012p but at 0.04p then they would get not £200,000 but £666,667 or an additional £466,667 or an extra 233.33%.

This document lodged at Companies House relates to the 1.7 billion placing on 6th March 2019 at a price of 0.01p or 300% less than our current offer price of 0.04p.

Now we all know “officially” that there was no forward selling of the conditional placing shares and as our share price continues to rise there will be no need to do what the “old queen” said in their recent pathetic RNS of 16th April 2019 where they said through gritted teeth “Any such fundraise, if concluded, may be at a material discount to the current market price”.

The current BoD have no authority to issue any shares and upon the appointment of a new Director the reconstituted Board there will have to have another General Meeting or they could wait till the AGM where they will seek some form of authority to issue shares. This will not be at the silly price that the “old queen” was wanting and in my opinion it will be at multiples of what they had hoped to issue at.

A swarm in May

A swarm in May is worth a load of hay; a swarm in June is worth a silver spoon; but a swarm in July is not worth a fly, a proverbial bee-keepers' saying, mid 17th century; meaning that the later in the year it is, the less time there will be for bees to collect pollen from flowers in blossom.

Now we already have conformation that one “drone” is exiting by the end of April and as I said recently drones follow each other (when they are looking to mate the virgin queen) well another “drone” will follow the one at the end of April and hopefully we will have installed our new Queen in time for the first real blossom of May, which has had an early boost due to the recent mini heat wave over the holiday weekend.

TR1

As our “shares in issue” are! 5,332,221,134 then for an official TR1 to be issued then they would need to hold 159,966,634 (which is 3%) at the end of the day.

When I spoke to one of our current directors two days ago he said that often shareholders are not informing them that they have crossed a threshold.

Technically a shareholder could buy in one transaction say 200 million but before the close they could sell say 60 million and then they would only have 140 million and if that was the case they would not need to TR1.

Now if any of our larger shareholders as detailed on our website under Aim Rule 26 have crossed a threshold either by buying more shares or selling some shares OR as a result of a large placing like the one on the 6th March 2019 for 1.7 billion shares, then they should have done as Antos did and issue their TR1. Why did they not issue their TR1? One rule for the rich and another rule for the very rich?

I need to proceed with caution as I do not want to rock the boat and as I said to an important person yesterday I am a man of my word and I will wait for their resolution “to their local difficulty”. This “local difficulty” could have been avoided if more thought to the owners of our company (that is you and me) had been considered.

I will limit my Posting to what I believe will not cause offence in any shape or form.

I Posted on another share today that I have been involved in for over three years where I had the miss-fortune to have an RNS put out in the summer of 2017 because I was gathering support to vote down their resolution on pre-exemption rights.

What you need to be aware of is that once our RTO happens (it will and it will be by whom we all think it is) then there is a possibility that he may be looking for another RTO target.

I am not advising anyone should buy that share or any share but you may just want to read my Post.

I am still here, I had a little difficulty over on another B.B. and you may want to read my post there at 11:42am as it may explain what I have been concentrating on for the past few weeks.

There could / should be an RTO over on the other B.B. (not advising anyone to buy the other share just look and find out what went on there over the past two days in particular)

Now if this “wealthy” investor does complete the RTO there then there is someone you then have to watch out for on our share register that may pop up. This person I talk to on a regular basis and if I had been an accountant or a lawyer then I think our relationship would be almost like Siamese Twins.

I have requested to meet in person this potential director so that I can explain my knowledge of Clear Leisure. I cannot promise anything but when you look at the tax losses of the AIM shell that he is looking to RTO into and then you look at the tax losses of Clear Leisure then you may understand my logic for requesting a meeting face to face.

I still do not want to Post on any B.B. because as I have said it is addictive and as a result of yesterday can be “intimidating”.
