$88.444 million from share issue? I have been asked by a good friend of the BB to do some research on their behalf. If I had funds I would invest but unfortunately I do not and I would also have to find out why HL do not display this share on their SIPP platform. I do not know at present why there is a document at Companies House in Ireland (I do know that the companies solicitor is based in Dublin) but from our Companies House the document lodged on 9/08/16 is of interest. This document is about converting the GB 0.001p shares in to USA dollars and a consolidation of 734:1 and also about authority to allocate shares for a maximum of 18 months (till 20/01/18) But then there is a later clause that says even if the authority has expired they can still issue if they have entered into an agreement before authority has expired. This is for Ordinary Shares and C Shares. Clause 4 says that no shares can be issued at a gross price which is less than the Net Asset Value or USA Dollar 10. ($10) From the Annual Accounts for the year ending 31/05/17 the NAV is stated as USA $ 10.11 per share. The last issue of equity was on 8/05/17 and at that date and at present date the total shares in issue is 2,499,038. It is in the Annual Report that you are informed that all the investments are held within an Irish Holding Company (Craven Industrial Holdings Plc) It could be it is this Irish Holding Company that is taking some shares from CRV. I am not up to speed with this document but assuming it relates to CRV shares and they do issue 8,844,400 then they are in my opinion going to be valued at a lot more than $10 but even if as per the clause they are only issued at the minimum of $10 then they will have funds of $88.444 million. Looking at the accounts it is pleasing to see a profit of $3.048 million and profit per share $1.36 and your share price last May? $4.52 this seems strange, profit is over 30% of the share price last May and 24% of your current share price of $5.65. Note 13: no loans or debt, what no debt and profit of over $3 million! Note 11: The 78,632 Warrants have been extended from 30/06/14 (what 4 years ago) to 30/06/18 (interesting) and the exercise price is $15. I would focus on this $15 because depending on what price the 8,844,400 shares are issued at will determine if the warrants are exercised. Finally Note 11: also informs you that the retained earnings were $18.157 million but now only $12.462 million, so that means no Corporation Tax to pay on the next 12 million profits which looks like they could be utilized fairly soon. As always it pays to do some research. RKB

Good Morning Horsford27 I agree with you and Mr H is key to our company going forward. Mr H would now have 19.27% of the slightly enlarged share capital. I disagree that our Chairman, Lance O�Neill holds 3%. He had 24,643,177 add placing of 13,334,000 = 37,977,177 and total shares in issue = 1,286,425,774 equates to 2.95%. If he did own 3% he would have 38,592,773 which is a difference of 615,596. The BOD can say Lance O�Neill holds 3% if they want to round the figures up but I believe accurate information should be published. I was almost on a free ride with MDZ and before I achieved my free ride I had a small top-up in late December and I now control 6 million but if I was to be lax with my holding and miss-report to the same extent as Lance O�Neill I would have to state on this BB that I now have 6,095,706. Posters may think this is being silly on my part but is it? What happens when a significant holder approaches 30%? Would you want to know somebody had 29.4% or 29.9%? The balance of the placing is 33,334,000. We were informed in the RNS that the shares were placed with existing investors. We may receive a TR1 and if this was from Mr H then the maximum that he would be able to declare if he received the whole amount would mean (assuming he has not purchased any further shares in the market in the past 2 business days) he would have 22.23%. I believe any investor who has a minimum of 19.27% should have a position on the BOD and the first thing they should bring to the table is a calculator. DYO Calculating RKB

I was hoping for a final top-up but do not think I will be able to free any funds up for a few weeks so thought I would post something as we are well under the radar. I calculate that we have invested almost �3.7 million in our 12 investments and almost all of them are undervalued but this will soon be rectified when our BOD enlighten us as to when the three pencilled in for an IPO on LSE and one on NASDAQ and then there is Fresho that to monetise that would possibly look at an IPO and then Horse Hill (will be sold to UKOG) It will be an interesting year for us. Hello Ongold One of the tools I use is counting shares. I record the time, price, volume and spread. I have been counting Prim since 16th January. I had put your trade down as a possible buy but kept it in the sell column as I was not 100% sure if it was a buy. Some posters may think it is not a tool worth considering (counting shares) but it has served me well. I can use this information to my advantage. I do not want to disclose on this BB how I can use this information but you will note that MM have to create a market in our shares and as I have said often on various BB there has to be an almost equal number of buyers to sellers. Over the past 15 days we have had (after my corrections) about 236 million shares bought and sold. The buys are about 10 million greater than the sells. If this was an exact science (it is not) then there would be 118 million buys and 118 million sells. I do not concern myself if we have an imbalance of the current magnitude but when it is distorted by a certain percentage then I can utilize that information to my advantage. Hello Dvsfm Last Friday you thought the large 10 million sell was Spreadex closing their position. I agree. There was a 10 million sell on 16/01/18 and then another on 30/01/18. There were also 5 million sells on the 17/01 18/01 19/01 and 23/01 so any two (or all 4) could have been Spreadex. I personally believe that our investment in our Fresho is vastly undervalued and think this could in fact be worth 20 fold. We have invested about �218,353 and I calculate this one investment to be worth �4.367 million (almost the market capt of our company). This high (very high) valuation I place on this one investment is after talking to extended family in Australia. Fresho have expanded into New Zealand and are now actively about to launch in Singapore (where next? Hong Kong!) We were informed at the last fund raise that Freso was expecting to reach the breakeven on cashflow earlier than anticipated. Our BOD said they were expecting some further information in January from Fresho, looks like they are sitting on it. DYOR RKB

No takeover of IWG I note that Mr Halletts employer IWG has just this afternoon announced that the Canadians are no longer going to proceed with that particular takeover. What effect will this have on MDZ? Could it be that Mr H has a large group of contacts in his phone book that will be available for MDZ to utilize and collaborate with and as such both companies could work together for each others mutual benefit? Who played who? I bought into MORE on the last day of 2017. I watched the BB and noted exactly what a little gang were doing. I timed my exit fortuitously on 11th January at just over 0.58. I carried out 8 trades. You could say it was pure luck when I bought-in and when I exited but was it? I find it strange (and that is putting it politely) that the maximum share price I achieved only two weeks ago was the recent high (0.5833 at 13:11 on 11/01/18) but there was a placing announced yesterday at 0.25. I find it difficult to SQUARE the circle. I do not short shares, never have and never will. If I had not sold out I would be on the phone constantly to the BOD demanding answers as to why the placing had to be at 0.25. You will find this Post will be pushed down the BB very quickly today as the little gang will not want it to be visible. Please Do Some Research, look at when Posters set-up their accounts, look when they say something like can not buy etc etc. Admin, you are failing in your duty of care by permitting multiple logins from the same IP address. Hello Ongold, it is true what Uncommonsense says. In fact he / she speaks a lot of sense. I disagree slightly in that what is posted on BB as it does affect the share price but not because of what they say (good or bad) it is the number of buyers and sellers. There has to be a market for our shares, you can be invested in a really good company but if there are no buyers to buy your shares then you will maybe not achieve the price you are looking for. I have a lot of research on Prim but if I post there could be an influx in buyers and MM will move the price. Conversely if a troll posts there could be an influx of sellers. If I am still topping up why would I want the price to increase? If you invest in your gut feeling it may serve you well but if you research a company and in our case with Prim and their 12 investments and you discover there is no debt and the investments (most of them) are undervalued, then there is a strong possibility that when the herd arrive you will be pleased. I use many tools when investing and one of them is counting shares. Buyers and sellers on average balance each other out. You can often tell from the spread if the trade is a clear buy or sell but when the spread increases it becomes more difficult to establish what the trade is. Sometimes you have to do a dummy buy or sell to see what your broker is offering. There is a slight problem if you have no shares to sell as you cant really see the true sell price (I do not have L2) In the past six trading days (excluding today) I calculate that there have been about 82 million buys and about 63 million sells. This is after making adjustments for known buys. You then have to try and work out why there are technically more buys than sells. In a normal market the buys equal the sells over time but when there is an anomaly you need to figure out what is going on and then use that to your advantage. We have an interesting year ahead as our BOD have indicated possibly three AIM IPOs and one NASDQ IPO and I have a feeling something could be rumbling down under (is it my gut feeling!) Good afternoon FF I am sorry if you think I am playing games, I am not. I am time poor and currently working on my tax return (neglected due to researching) I am not a Premium member either. If you took a step back and thought what it is you want to achieve then you may achieve it. My research is a distillation of many RNSs and Annual Reports and Interim Reports and then some stuff form Companies House. It is set-out in my opinion so that information can be located easily like total shares BOD have (and warrants) original investments in each company etc etc. Most posters have their goals, mine is to increase the size of my SIPP and I have said on many occasions that I top slice with the goal to return my original stake asp. I do not unload my shares and crash the price and then try to get a lower buy-in. The more posters that read what the BOD have published and articulate it then the sooner our share price will increase. I do not have to post but will when I have some free time. I wish you well and maybe one day we will talk. RKB

Hello Gt68i I am not up to speed on the spread betting Companies, I don’t really care what they are up to. I research and then research and I discard a lot of companies because I don’t like something. What we have in Prim is no debt. How many Aim Companies have no debt? There are no convertable loan notes so we are in a position of strength. Yes we have no income so placings have to be performed and I have no issue that. The underlying value in Prim is the sum of the parts and the network that the Bod keep. If you are not a day-trader and want to make serious money on Aim you need to do your homework. I look on this as a job (to secure my family’s future) so I do my research and I put my money on the table. I am confident I have made a wise investment in Prim. Later in 2018 after three of our investments list on Aim and one lists on NASDQ and hopefully one lists down under, there will be tales I will be able to tell my granddaughter about how 2018 was PRIM s year (I try to avoid apostrophe s as it often comes up as a spurious character) RKB

Hello BilboMultBaggin I don’t think you understand how the Bod play this game. I am not being disrespectful to you. My parents wanted me to be a lawyer or an accountant or whatever but I chose not to go to university (and that was when you got a grant to study) I just went to college (computers in 1972 - 1973 were the new block-chain. When a company like Prim or Vela invest in 10 or 12 Companies the accounts tell their story. (Note I am not a wordsmith, actually very poor grammatically but I can spell their and on almost every B.B. we have day-traders who missed out on their primary school education and can not distinguish between there and their and whenever I see that I know they are gamblers) Accounts tell an accurate current position at a particular point in time. Nice to incur some legitimate tax deductible losses so when you are legally obligated to disclose profits there is no corporation tax to pay (day traders will not even know what that is) To answer your question, Prim will disclose their profits when they have no legitimate way of disguising them. Our Bod are straight and play by the rules. (Whenever I advised my clients on financial matters I always said rules are there for guidance and it is how you interpret them) Almost nobody understands the full potential of Prim but I am confident that 2018 will be a profitable year in one way or another. That was the reason why I phoned the BOD last week or was it the week before? When you establish a relationship with the BOD you have access to them to ask them very personal questions and all I can say is that I am more than happy with my investment in Prim. RKB

As for CLP I am no longer sharing my research with anybody as all I get on CLP BB is abuse.
