Morning Knigelk You may be correct with your thoughts on the Italian political / economic problems but there is a perverse advantage for FG at the present time due to the lack of an Italian Government being appointed due to meddling by the Italian President I follow the Italian elections closely to ensure that I am appraised of anything that could influence my investment (in Clear Leisure) If anybody has done just a tiny amount of research on Italian Banks and their debt (non performing loans) and are aware of how close the Italians are to a greater default than Ireland or Greece were in the past few years, then they will be aware that this strengthens FGs negotiating position with CLPs Banks and Bond Holders. When a Bank is trying desperately to avoid going under they sometimes take a tiny fraction of the outstanding debt from a debtor so as to move the day of going under a little further down the road (in the forlorn hope of being bailed out by the European Central Bank) If a Banker comes to the conclusion that they may not get bailed out by the ECB then they become even more desperate and will do almost anything to protect their salary even if it is just for another month. FG knows many influentially connected people and he will do what he does best and negotiate a large discount on Debt and Bonds. RKB PS do you recall that last year we were going to produce our results in Euro as that was where most of our assets were located? But no explanation was given (as far as I recall) as to why we reported in GBP. Could it be because of the imminent change in direction? Could we report in another different currency next year?

10P Warrants almost all exercised I have crossed checked all RNSs & all documents lodged at Companies House with regards to Warrants at 10p. From the RNS of 29/01/16 which relates to the very large Prospectus, Readmission & Placing Document there is a glossary of terms that have details about all the Warrants. See Apendix, 1 Definitions: 1: Investor Warrants the 3,500,000 granted to Investors to subscribe for ordinary shares at 10 pence per share as more particularly described in Part X11 of the Prospectus. 2: St Brides Warrants the 50,000 granted to St Brides to subscribe for ordinary shares at 10 pence per share as more particularly described in Part X11 of the Prospectus. Therefore we have a total of 3,550,000 Warrants that can be exercised at 10p. I calculate that 3,544,019 have already been exercised to date and that would mean the maximum 10p Warrants outstanding is 5,981. There have been 23 occasions where 10p Warrants have been exercised. Good afternoon Chesh The first document lodged at Companies House (13/11/14) for Highlands says on page 6 that Ordinary shares have full rights in the company with regard to voting, dividend and capital distribution. https://beta.companieshouse.gov.uk/company/09309241/filing-history?page=3 In my opinion it is at the BoD discretion if they decide to declare a dividend. I am confident at some point in the future we will be a dividend producing share. Many years ago Barratt Developments declared a 10p dividend even though they reported a substantial loss to the market but decided to maintain the dividend to show the market that the loss was only temporary (I believe it was a direct result of an adverse BBC Panorama Program that crashed the shares to �1 and at that time were yielding 10% because of the collapse in the share price) You need to go back and read some of the notes RP has placed in the RNSs over the past couple of years and he alludes to paying dividends. RKB PS by declaring a dividend the BoD can send a clear signal to the Market that they have the ability to continue to pay future dividends and as such create a strong and loyal shareholder base that seek out dividend producing shares.

One thing about this BB, is it has many well respected Posters and some experts in their particular field and a wealth of knowledge. From all the guys / girls who have met with BoD and the Highlands Team I formed the opinion that RP was more than a little disappointed with our low share price. Assuming that RP is irritated (a little) then one possible solution is to pay a maiden dividend and this would send a clear signal to the market. As we know we have our monthly cheque coming from True each month it would not have any adverse cash flow implications as our Bank balance would be replenished within a month or two. RKB

Good afternoon Supermabs Thank you for your informative Post. I would have liked to have gone to London last month but due to other commitments I was not able to. Like yourself I like to look the BoD in the eye and make my own judgement. I am what you call an active investor and often take BoDs and CEOs to task if I do not like something or if I feel that they are ignoring shareholders (the ultimate owners of the Company) I have not felt the need to question the BoD on anything, I like the accounts (well presented and nothing hidden) I like the way they have accumulated assets and most of all I like the current low number of shares in issue. I have not emailed or telephoned anyone at Highlands and the longer I do not have to communicate with BoD and RP the more confident I become. There are two reasons we have a low number of shares in issue. No convertible loan notes and no debt. By default if you have debt sometimes you have to issue / place shares to pay-down the debt, we do not have that with Highlands. There are many so called investors in Highlands who could be of the generation that require instant gratification, fortunately I am not of that generation and if you have done thorough research (like I have) then your research will pay-off at some point. RKB PS I believe we will pay a maiden dividend and as stated above I have had no contact at all with Highlands so it is my own research that has drawn me to this conclusion.

Maiden Dividend Here is a thought Gallini which may also assist Eringael If RP would like the market and institutions to take note of Highlands and where we are heading with all our assets (too many to mention in this post!) then pay a maiden dividend. Mr Price: Can you please pay a maiden dividend of �0.005p as a reward for founding investors and as a reward to all LTH? I calculate that this would only cost the Company about �582,489 with the current shares in issue of 116,497,700. Mr Price you would receive about �60,000 dividend for your shares and then you could exercise some of your warrants at 5p and receive 1,200,000 additional shares. Our Company would then receive the �60,000 back as you exercise some of your warrants and the net cost to the Company would only be about �522,489 which is a fraction of the cash Highlands received when you executed the transaction with True Oil. Mr Price when you think about a maiden dividend and if it was only �0.005p this would at an exchange rate of $1.3 to GBP1 would work out at only using 13.94% of the $5,430,492 Highlands received in April. I would be more than happy if you were to announce a maiden dividend with our soon to be published annual results. RKB PS I am sure many LTH would be happy also

Morning Eringael I have no logical reason as to why we are not at a higher valuation. We are due our annual results soon. Last year they were produced on 21/06/17 and I would take it as a positive if the accounts were produced one week earlier. What we will have this year to 31/03/18 is revenue. We have all the cash from our first two producing wells. There is no debt and post end year we have the 7.5% royalty and the cash payment of about $5.5 million. I have not attempted to calculate a profit & loss for 2017-2018 as there are too many variables but what I can say is that when we do show a profit we have retained losses to offset corporation tax. Highlands have excellent assets also Wells producing and being exploited at no cost to us. Eventually RP will enlighten us to the direction he wants us to travel and I believe it will be rewarding for LTH. RKB

Morning Substp Apologies After your post I rechecked and you are correct. The 30 million warrants were exercised on 1/07/16, 2/09/16, 15/09/16, 15/09/16 and 19/10/16 5 million, 5 million, 5 million, 5 million and 10 million. No excuse for this error on my part. RKB

Warrants The Good News For LTH Two months after Highlands first listed on March 2015 an important document was issued, which you may be relieved to know about (as it has been holding back our share price) When Highlands announced on 12/05/15 that we were going to acquire 75% of all Diversions Technologies outstanding patent applications and future applications the terms were 1.9 million shares and 30 million warrants. The shares were about 13.5p and the warrants were exercisable at 25p. The warrants expire on 29/05/18. Now if you look at RNS 15/06/16 it says DTU disposes of 30 million warrants. You may want to read this RNS as it is important and I am not going to summarise it in this Post. I am not aware, to the best of my research, that any of the 25p warrants have been exercised. Unless our share price goes above 25p tomorrow then it is my understanding that the warrants will expire and RP will not have to issue more shares. Good Morning Gallini Yes I did post late last year that it would be impossible to have a takeover without the approval of RP. This is because with the current shares in issue and their warrants if exercised would mean they would control 26.82% therefore any offer would not control more than 75% it is impossible. You also have to do the research on DTU and their share structure and then you can see that RP is fully in control with % in HNR and DTU that will always ensure a hostile takeover in not possible. I am still a holder of 400,000 and with family over 500,000 and have no intention of selling, I am here for capital growth and dividends which I believe will come at some point. We have only 116 million shares in issue, substantial funds in the Bank and a good revenue stream that will increase at no cost to us. RKB

Afternoon Knigelk You only just caught me as I am about to go out for the afternoon and as you know I prefer only to Post from Laptop as spelling is not my strong point (C10 not forgotten you and I do re-read my Posts to check grammar) and I tend to make too many silly mistakes posting from my iPhone. I said to BoD at last AGM that I do not want to take part in any future placings but I did inform them that Max would be interested. It is up to Max if he will answer the same question. I am in the process of re-balancing my portfolio to top 250 shares for capital growth and dividend income. I found a little company recently that is paying me about �2,300 income on 1/06/18 and there is no BB at present and I have no intention of starting a BB as it takes too much time and I prefer to just do my research. Things have vastly improved since last year, just look at easychairs Posting History (it will not take too long but it is relevant especially last summer) We have often had time delays in lodging documents at Companies House, January placing 33 days document lodged. March placing 14 days document lodged. May placing instant update lodged at Companies House. (it is not mandatory to lodge immediately, normal practice would be about one month) Our website has improved, our balance sheet vastly improved, a profit of up to 4 million will be reported in the annual accounts, shareholders with deep pockets on board, first charge on land secured and court cases instigated, and Bit Coin being extracted and ICO soon. Many positives for LTH and almost no downside for the 10% day traders. RKB

It is staring you in the face If you do the in-depth research that I do on all of my investments then you may be pleased, like I am with todays placing. It was at only a small discount to yesterdays closing price but at a premium of 58.33% to the January 2018 placing of �300,000. It was also only a small discount to the Euro 250,000 loan placing in March 2018. Companies House is a good place to obtain information when researching companies. I do not have time today to Post all my thoughts but some of my previous Posts may be helpful to some. Look closely at AIM Rule 26 and you will see a new shareholder popped up on the share register on 22/03/18.Then look at the placing at 1p and work out the maths and you may conclude that the UK Investor who originally lent us Euro 500,000 is now on our shareholder register. Then if you wait a few weeks and see what their shareholding is increased to, then you will be able to work out how many shares they received in todays placing. If you had bothered to go to the General Meeting last week you would have been better informed. In 2002 when we bought our present house, we paid a �250 deposit to secure the plot from the builder. Five weeks later the price we thought we were going to pay had increased by �5,000. When I enquired as to why the price had gone up so much I was told by the sales assistant that there were four other couples prepared to buy our house (they had put their names on a list, supply and demand) The demand was there and this national builder used this increased demand to drive up prices. When the builder completed our site 12 months later the last similar house to ours had gone up �40,000. What is the point about the price of our house you may think? Well the builder had had the land for years, the materials for our house were already on site and the tradesmen / women did not get an increase in their wages. The builder knew they were onto a good thing and had pent-up demand. RKB It is Just Another Idea of mine.

The Bonds Now I have to say that some Posters may have missed something important. You need to read the wording of RNSs carefully and then double check your figures. Bonds are in Euro. We know from RNS 11/05/18 it says holders of its 9.9 million Bonds. On first reading you would think there were 9.9 million of Bonds. It also says that Eufingest holds 43.48% of the Bonds. We know from RNS 3/01/17 that there were only 6.9 million of the Bonds issued and as a result of the Bond Holders meeting on 30 December 2016 resulted in the reduction of interest from 7% to 1% which resulted in a saving of �671,000 a year. Now at the Bond Holders meeting on 16/12/16 only 36.63% of the Bond Holders were present for the first meeting. 36.63% of 6.9 million is 2,508,840. and that leaves an amount of 4,391,160. But we know that Eufingest holds 43.48% which if 6.9 million is correct is about 3,000,120. We can also confirm from RNS 2/01/18 that FG correctly informs us that there are 6.9 million Bonds. So what is the purpose of this Post? Well Bond Holders to the value of 1,391,040 did not vote in the past or turn up at any Bond Holders meetings so there is a strong possibility that this Debt was sold on at a knock down price in the past and if it has been sold on then the current holder does not need too much of an uplift to make a profit. My past experience of working for a large Scottish Clearing Bank is that debt is often sold at 10p in the � and if and it is a big if, some of the Bonds were sold because the holder was distressed then it may have been acquired at 10p in the � and if they were offered 20P in the � then that is 100% profit. You could be correct in your thinking Timmit with Sosushi and Luke Johnson. Clear Leisure entered into an agreement with Sosushi in December 2013 and most likely these negotiations could have been instigated by Luke Johnson, so he could be an expert witness for us. RKB
