1. We would have been happy for a placing to raise funds
2. Hoppy to parcipitate in a primary bid fund raise and would have taken part
3. happy for Zaza to loan to the company
4. That what ever funding option Zaza thought best we would have backed as we believe he is aligned with us.

Thus confirming to the court that Hope was blocking funding in his interest not ours.
It also puts a human factor into the case - real investors, real people who are being fleeced by OMF and Hope

I think Cairns probably discussed over the weekend that they would be resigning as Nomad, that could still be classed as unexpected as it was not preplanned weeks before.

If they said we are resigning then that indicates that possibly without explanation, maybe explanation was not requested and both FRR and Nomad agreed that leaving and suspension was the best course of action for the Mcap.

This is then the Nomad acting in best interest of Shareholders and company

As for FRR trying to get a new Nomad ASAP and trading again
Well hope has two working days to get evidence to court, there is very little chance of anyone getting a Nomad in that time and so if FRR worked hard its possible to get one in place by 2nd jan earliest. Which could be well after conclusion of the case if hope fails to submit evidence or a deal is done outside court.

One other possible reason for Nomad resigning is that they have been asked to submit evidence for one or both parties and to limit any conflict of interest. I hope if that was the case its not evidence for Hope.

So can i take it that you have no money invested in FRR

I think you are here with interest because you have a short on here, and this is a huge worry to you if settled in our favour and with BP now named as a party we have a NDA with.
I have seen many shares triple in minutes on news of a big major like Exxon or BP being involved.

Its no wonder your here fighting on xmas day, the stress must be huge, can not close short, and could open many multiples of last close if case goes our way.

On 18 December 2018, the Grand Court held a hearing regarding injunction granted on 11 October 2018 and, on 21 December 2018, ordered that it should be discharged, however the Company is going to appeal that decision with the appeals court.

So for me that says the Injunction was lifted allowing Outrider to take company, but we are appealing it with appeals court.
So stands to reason whilst waiting for appeals court Hope/ outrider can not action until appeal heard.

However - we then have:-

The Grand Court also ordered that the injunction should remain in force until the next hearing, which is to be listed in January 2019.

Anyway all try and have a good Christmas, and if anyone is able to give some good legal understanding on this then please do - can we keep it honest and civil as childish comments, shorter's gloating etc is pointless as its all going to be in hands of judges now. Company is either about to be come a substancial shareholder company or substancial stolen company.

Well here are my thoughts

firstly, unless we have all been taken as mugs, Steve and Zaza have more to lose than us, the only way that would be untrue is if Zaza< Steve and Outrider have planned this to take it away from shareholders and then when Outrider take over they get a quarter of the company each.
now thats not likely - so i see them two aligned with us.

The questions
Why have cairn resigned ? Frontera say they have no idea why. So its a strange one, although of course for a while it means we are protected from the SP being crucified.
However i have been in a two shares where the Nomad walked away and in both cases they were delisted, i think after 3 months ( not sure timeframe)

So huge risk here now.

Why did Zaza not just pay off outrider with his own money, - even a gift to the company would be better than losing the lot. We could have got Hope off the board and then raised cash to pay Zaza back.

What do we make of Hope blocking funding. Could he argue (wrongly) that the funding would have diluted shareholders too much and so he was acting in the interest of the Company? Of course its not as share holders lose everything if he gets away with it. So does that mean we can prove that he was acting in a way to cause default and to not be working in companies best interest.?
What happens if FRR now pay Outrider in full, does that mean its all lifted, of course this is not what Hope wants , he is after the company as its now reaching the end of the rainbow and true value was close to being shown.

What a bloody Christmas present.
What does this do for Outrider? Is this the point where no other company will ever touch them again. If Outrider win then they will not need another company as they will be worth billions.

A lot of hard working honest people have money here and to have a thief walk in and try to take it all from us is beyond belief.

If Hope has not submitted his case, why do we have to give more time, either he has evidence, or he does not. What evidence would bury us and what if still not ready by 28th

secondly, Why did the injuction get lifted? Is it reinstated and is this just normal procedure?
Is that good news, bad news or indifferent.

lets take all emotion out of it now, as what ever we say will make no difference, Share is suspended so can not buy or sell, so what ever we say it effects nothing.
So in honesty, what are our chances here, in court?
Whats chances of out of court settlement?

Why did YA become more reasonable, was it because Zaza told them he had finance but Hope was blocking it and he was working on it, or something else, possibly involvement with outrider.

So i have read the court papers
and i have a few conclusions from it

Firstly the issue and claim
The issue is a previously Hope and Outrider have for at least the second time tried to steal the company from us.

What hope has done is asked for payments due, but made it impossible to be paid.
It would be a bit like your bank putting a block on all your money in your account so money from employer can not be paid in and then calling a default because you had not paid your mortgage.

It should be looked at as him using his position to try to steal the company by forcing a default.

It sounds pretty cut and dry, but in law things do not always follow common sense.

We should wonder if we had no other option but to put hope on the board, right now it seems like it was a huge mistake. Maybe they had no other options.

What we could look at is who stands to lose here.
Share holders of course, but bigger than that is Zaza and Steve, they lose everything they put in.

Hope is a parasite, he is not there to make steady money out of companies like he makes out. he is out to force a company into further destress and to steal it at a hugely cheap price to make millions or billions out of it.

For me, Hope and Outrider are common thieves, they do not have a bag with swag written on it or balaclava to cover their face. They wear a suit and a smile and using under the belt hits and con artist methods they steal assets from right under your nose using slide of hand.
Lets hope the Court see's it that way too.

He certainly has not acted in the interest of the company and that is proved (in my opinion)

Now the outcome i see is his removal from board and being paid in full. Which is why we have the loan now. His suspension from the BOD allowed us to do what he was trying to block. So whilst injunction has been ongoing, Frontera have been putting the building blocks in place to kick Outrider out.

So i see a judge deciding that Outrider / Hope acted against company
That Frontera owed the money

Due to Outrider stopping us paying a fine and costs for them, but us having to pay them in full.
Hope to resign from bod.
Good riddance to them

Thats hopefully worst case thats likely.
However in all honesty, this is now Red or black

Very worst is Hope walks into the sunset taking all our cash , but i promise you if someone steals from me they will not live to enjoy it ( yes, Hope you thief that can be read as a possible threat)

One thing i do not like is sly underhand tactics and theft. I work hard and even risk my life to save people i have never met before to pay for my life. I can not stand the scum in society who take from decent honest hard working people.

Does any one not find it strange that Exxon purchase a share in a certain pipeline, then sell or put up for sale their portion of the fields that supply that pipeline.
A pipeline that runs right through block 12 which could be a huge gas field.

They also announce ventures in the Country of Georgia

That $2b would be very a nice payment for Frontera Georgia, of course if Chevron are also really leaving same area at same time maybe we have two majors buying us out.

The SP will not matter if this suddenly appears, the price could move very quickly indeed if a sniff of a rumour is started and 2019 could be a very interesting year for us

Do FRR owe Outrider $30,063,276 in secure loan notes?
If that is the case, which someone needs to confirm, it can not be outrider selling the millions of shares.

The reason is who ever holds those loan notes, they are not convertible and are due to be repayed in cash or in kind.

Funny enough Val finished up two days on the trot (10% today) albeit from a long drop, and FRR is down but on very low volume.

However if you had a definitive date for withdrawal, perhaps shares were not the best investment choice.
Blaming and accusing CEO of these companies is not going to help you, i would suggest the only person to blame for your investment .... is the man in the mirror.
GKP did play a few games but the selling there was over days before announced and then continued, here these sells have gone on for months and as i suggested before with a falling price with the sells do not be surprised if the seller is also buying some back, cheaper and cheaper as they sell, that means the selling can continue indefinitely until news over comes it and then the SP bounces.

Meanwhile i would suggest only a small chance of a big recovery before xmas, so maybe its time to bite the bullet and sell what you need or go for a plan B until the Company see;s its rerate.
2019 will be our year ( i may have said that about 2018, 2017, 2016, 2015 and 2014, but who cares)

They want and hope the price declines for shares, if not they lose money.
There are groups who communicate and try to work in unison to short a share or shares.

They do this buy selling shares and some will also try to produce a negative tilt on the company.
Selling a few shares in unison will sometimes help lower the price and cause a snowball effect.
Companies with large holdings have ability to manipulate the price.
Example is today, a large number of sells in 1 - 5 m groups and some investors get cold feet, that can increase the selling even thou no reason for SP to fall in regards to news or financials within the company.

The share can be run like a bookies
You have 500m shares that cost 1p each
You see 1.1p sell price and sell 10m
Price goes down
You buy back your 10m at 0.97p and sell another 20m at 0.98 p as price has small bounce
Then sell more of your shares at 0.97 and continue selling until price goes down.
Slowly you buy more at lower price as other sellers help keep price down.

In the end you will make small amounts of money and hold similar amount of shares as you started with. The difference being a relatively small profit. A computer can actually orchestrate this for a large institution and actually predict the price based on trading alone.
News of significance will stop it but the shorting institute could if they wanted still have original holding having traded as short.

This looks more like someone off loading but do not be surprised if they are loading some back on the way down.

As for who the other major may be and why NDA?
Well we do not know who they want it kept secret from
It could be to do with other Countries they are currently working in, From The Georgian Govt or from a Competitor.
They may not want their shareholder to get spooked with speculation so until due diligence complete and market informed it needs to be held in a NDA.
A deal on a refinery on Coast, a deal to use a pipeline could all be effected if the owners new that they had oil or gas coming from us.
Imagine EXXON announcing a deal with FRR and then going to get supply in a pipeline crossing Georgia, The price may increase for any deal to share rights on that pipeline if its known that they need it desperately to transport hydrocarbons. It may also prove difficult to negotiate that pipeline deal if Azerbaijan knew it was going to be used to carry gas from Georgia rather than that major making further investment off shore in their region.

Frustrating waiting and watchin SP i know, but this NDA if still current could be for very important reasons , so assumption that we could just be told may be false

I listened to another poster on another site and i sold to buy back in cheaper ( a farlly large portion of my shares)

The poster claimed to be a chartist who was respected by many ( but not all)
He liked to post about how accurate he was, and so i followed and decided i could get more shares selling high and buying low.

So after selling, news came in morning, SP shot up considerably before i could buy back in. I lost

Who was to blame? A poster who said he knew how charts worked guaranteed? or Me?

100% me, although i trusted him, i made the decision and greed and thinking i was clever cost me dearly.

Same poster predicted oil would sink to a new low, since then its climbed to around double.
So charts, you can keep them when it comes to volatile shares like this, news moves shares like FRR and news can come at any time.

What news could arrive
News that Hope / OR settle out of court
News on flow rates
news on second major
news on new drill campaign
A T/O offer or farm in

Or even something else

So if your feeling brave or clever and want to try trading this share, even when the SP is sliding, be very aware that the recovery can be a lot quicker than the gradual slide.

I am not going to give any advice, but i feel more comfortable waiting patiently for reward than inpatient trading tactics - once bitten - twice shy

I do not play with money that if i lost it, would effect my life detrimentally.

Starage, i could but i do not believe in gambling more than you a can afford and that means not borrowing to finance shares.
I sold the house twice already and both times it fell though, first time was back in June, so until cash is in the bank i do not count it for using. Just my way, and i thought my chance would be well gone by now, so just maybe i will still have a chance if it sells this time.

Well as many will know i said i would double my holding if i sell my 2nd house before SP rises.
Its taken longer than i hoped for but it may finally be happening.

Hi Puddy, one such company was GKP, Todd Kozel sold his millions of shares and near the end of his selling it became news. Then he came out saying was just his divorce settlement.

Thing is with that kind of illegal activity, is they do it, then walk away as no one complains, even if they do what can happen. the company get fined? The director told to resign? Well TK was happy to resign and walk away into the sunset as the share price dropped like a stone and the company estimates became just a figment of imagination.

I do not think Zaza is selling, but after GKP, where l lost 10K and a friend i know lost around £230k (all his pension) i take nothing for granted. With FRR if a director did this illegally like GKP did, i would invest my cash in a revenge and make sure that person did not live to enjoy what i would call, theft.

As far as i am concerned we are all in same boat and we all win or lose together, Zaza, you me and everyone involved.

I can take a company failing but corruption and using insider info to sell discreetly and illegally would not go down well with me.

lets buy FRR with hostile takeover, we will pay slightly over share price (Mcap) then we can say we have this useless piece of land that holds nothing to their investors.

A unknown industry major also spends months in NDA whilst looking at empty data sheets that show instantly that if they drill they will find miniscule amounts of hydrocarbons.

Come on fella, i see your point to some extent as it has been a case of clearing one hurdle to see another one pop up in front of us time after time.
However, the last 18 months have seen substantial change:-

Shareholder meetings in London
Better communications and new platforms (twitter) not to everyones taste i agree
No placings or loans for some time
A period of intense work to get a number of wells producing
Interest at last by two industry majors, one who signed MOU and one still pondering

That is some progress

Today we are given some loose details of likely plan for next 3-6 months and wells they are looking at.

EWT continues, why so long we can only guess, but lets look at what we do know.

We know they flowed oil and gas
We know they were being played with to gain data
We know they must be producing something fairly substancial or company would be out of money by now.

So i think we can assume also that YA were being paid and so excess money too
BHGE seen something to want to join us on this venture and that costs them

Outrider have tried to play us before, they wanted FRR, and i suggest this was plan again, so ask yourself why?
Look at Ukraine, a neighbour, tell me that as the latest Crimea incident involving Russia is not enough in its self to justify a drop in price, it causes some uncertainty and so people play it safe by derisking in areas of potential conflict.

Personally i think FRR are having to play a softly, softly approach on this with dogs waiting to attack on every corner.
Russia is an obvious one, Georgian Govt a possible issue with them realising that they under estimated the potential in block 12 and the tax they may not receive.
Financial institutes that get greedy and are after larger slice of the pie, or even working against us for a third party.

Thats without opportunist shorters and volatile oil prices.

Let's remind ourselves that SN and Zaza have a huge holding here and will fight hard to protect what they have, and so will not be losing what we invest in readily.

I am gutted to see SP so low now, but i still have not sold house and just maybe i will get my top up, which by now i would have thought i had missed any opportunity to get at such good prices. If i sold tomorrow (house) i would at least double my holding and thats truth.

This is not a dead cert, but i think odds are better now than anytime in last 5 years for this company to survive and thrive.
