Was our Chairman referencing Flim Flam about his colleague and fellow Board of Director who is the only known bidder who has put a price down ?

Was their thinking we throw a price in the mix , £1.70.
Throw in our buddy the Candyman to say he might Bid, creating an impression he will pay more ?
This ensured the AGM was a total non event / they could have pushed the AGM a week on ?

Once the Candyman goes back to developing apartments in Kensington - next week - hopefully we get an update on the planned restructuring

Other than an easy AGM as a by product as you say am not sure what THG got out of this ? Maybe the starting point for the staff shares they issued last week was a bit higher ?

I like the business but it does feel more like an AIM co at times

Suspect timing putting his Bid in 60 minutes after a Director Bidding to buy the business on the cheap - such a coincidence

Plus we don’t how was it the Directors first offer or his 2nd Bid as reported by The Times yesterday ?

No word on restructuring, ditto on the multiple bids
No confirmation of ‘we are not for sale ‘
Nor Matt will relinquish his Golden Share etc

Agenda’s at play, maybe we get the entities restructure IF Matt can’t agree personal terms with PE - whoever they may be

They could have moved the AGM a week and it would have been more meaningful … as is ..

Fair to say we should have been informed on the day of both, he’s a member of the BoD, he’s a true insider and knows what’s going on, was his 2nd Bid above the £1.70 or below ?

Strange bit of reporting even for The Times

They should have moved the AGM a week

We would have known where the Candyman really stood then ?- unless we get a big surprise he was just a stalking horse at the moment

If no Bid via Matt then they execute plan A which is to split off the businesses, the AGM could have been a good time to update on that strategy

Candyman saying ‘ he might Bid ‘ has given the BoD a get out of jail card with difficult questions at the AGM plus pumped the stock same time

SP, I agree something is happening

Point being if you are a professional Non Exec of a listed Plc it’s not normal behaviour to resign a working day before an AGM and a week before additional Bids may arrive which may or may not be higher than the Bid off a fellow Director who is also buying shares in the open market through his de facto controlled company - its insider trading IF he knows a Bid is coming

He shouldn’t really be buying shares in THG via his investment vehicle at £1.40 after Bidding to buy all the shares at £1.70 whilst remaining on the BoD, think we all feel that.

Am long THG and all will be revealed but the non exec calling it a day with immediate affect kind of confirms the general view

Why didn’t the BoD push forward the AGM 7 days until after expiry date for the Candyman ?

It’s ensured the BoD can hide behind ‘ no comment ‘ regarding a take over

Just 7 days on and the AGM would be meaningful

Suggest the non exec could have requested the same and it was rebuffed

It was convenient a Bid came in at the same time another would be bidder stepped up to say he might Bid which then triggered the Takeover panel rules which ensured the AGM was kind of pointless in many ways

Now we have a non exec resigning within immediate affect 24hrs before the AGM but the Director who had put a Bid on the table hasn’t resigned

At best THG BoD is acting like an AIM share BoD ?

The non exec in question has got wind it’s a ruse that a fellow director and friend Matt ‘s for previous 12 years land has arranged his £funding is Bidding to buy THG in tandem with a potential bid from a somewhat dodgy property developer who has an office in the same building as THG in London and both have have socialised together ,put aside both offers announced within 60 minutes of each other - how remarkable is that btw.

Matt can then trump the £1.70 at whatever price with whoever he has joined with IF he can get the terms right for himself / management

The non exec isn’t even working his notice / carrying out his non exec role in what is in the middle of a take over by another fellow director, he’s left with immediate effect a working day before the AGM

If your a serious non ex director of public company you don’t walk out at this stage of the game unless you have concerns that have not been addressed

Ovs all will be revealed and we can relate back but something going on

He’s not happy with a Director bidding the company and staying on the BoD

Think we are all agreed this stock has been manipulated by II and offers us little PI’s a good opportunity to buy in on the cheap due to their shorting
