If somebody says “we’ve got an £800,000 deal with a company”

And raises capital on the back of the news, which then turns out to be complete BS: that is fraud

If somebody says “we’ve signed an exclusivity deal with second chance” and then raises capital on the back of that, which is then completely rubbished by second chance: that is fraud

If somebody says they’re building a distribution facility complete with runway in Malaysia, and raises capital

On the back of that, which then turns out to be a lie: that is fraud

If somebody tells you they have orders and raises capital on the back of that when in actual fact they don’t have a working product: that is fraud

To deny that is utter stupidity

Secondly, to observe and oversee the above as NOMAD without any checks and balances and to endorse each RNS is a breach of duty per LSE and FCA regulations

Again, to deny that is utterly laughable

Thirdly, to join WhatsApp groups and try to sell IPO shares to existing shareholders when the company is already insolvent is fraud

Another side note that nobody seems to be talking about is that even if everything Amit says is true, the tech and the product is now years out of date and wouldn’t attract a single sale

I’ve been sent letters from his solicitors threatening it but how can he, when he would be truly exposed as a fraud?

He no longer has a defence. The reason he keeps dangling a carrot is because after 6 years any claim against him becomes statutory barred.

For anybody interested, you need to go deeper and look at who facilitated the capital raises and perpetual shareholder dilution on the back of lies

I’ve spoken personally to Christopher chance (second chance) he says they never ever had a deal and thought Amit was a joke as he couldn’t provide a working model

I’ve spoken to distributors at nemesis they also confirm that they never had a deal

They never even saw a working cloudtag

So, the question is not “why, or how”

It is who pulled together to allow this fraud to continue un-checked

The LSE rules for NOMADS is strikingly clear:

LSE AIM Rules for Nominated Advisors 2019 :Part Two: Continuing Obligations of a Nominated Adviser States that;

The NOMAD is bound by and must observe any rules and procedures set out in any supplementary documentation issued by the Exchange under these rules, and must;

act with due skill and care at all times.

LSE states that the RNS System benefits investors as:

Releasing announcements through RNS ensures company information is distributed immediately and accurately in full text and in industry-leading formats.

Section 3.3 of the LSE RNS Terms and Conditions state that

"When the Customer submits an Announcement it shall ensure that the Content of that Announcement is:

— Suitable for distribution to the general public;

— In English (and if it is written Content, that it is in the form of a clean print copy);

— Relates to a Company or its business;

— Not misleading, false or deceptive; and

— Complies with any applicable regulatory and legislative requirements

As per LSE AIM Rules for Nominated Advisors 2019 :Part Two set out above, was it not cairns duty to ensure that the information contained within the RNS releases was accurate and genuine?

Did they allow Amit Ben-Haim to release misleading information to the market on more than several occasions?

Were any warnings issues to Mr Ben-Haim following each article? If not, why not?

It is also my view that the RNS releases contravene not only the above LSE terms and and conditions but also the legislative parameters contained within the Fraud Act 2006: S2,

For all we know the deal could be 10mil without any dilution as partners are intrinsically invested in the success of polx
