I find it ambiguous the relationship between GC and TB .... they have known each other for years so what has changed ?

The dilutions and the directors share sales are major RED FLAGS for me , and therefore I have only taken a punt in RMS and not ´ invested ´ major money and won’t until the situation becomes clearer ....

I will try and answer your questions as best I can but first let me say that I am not as well versed in RMS and it’s history to be able to answer them as I would like ....

1) I don’t trust or distrust them ...neutral

I don’t appreciate the constant moves of assets from one of TB’s companies to the next ... why don’t they find major players to sell to, if the products are so good ?

Sorry but I did’nt participate in the placing and have absolutely no problem with shareholder activism .

I do have a contrarian way of thinking so that might explain why I don’t appreciate the way many of the posts on here are very biased against the directors. I agree appearances are against them since they sold out all their shares ...but appearances are not proof of wrongdoing ...
I believe that we are not in possession of all the facts or what is going on in the background so I am trying to keep an open mind and not go down the ´ crooked road ‘ like the majority ....
It’s always easier to go along with the majority but the majority are not always right ..

I never said that the BOD are not answerable to shareholders , of course they are but their Primary duty is to the company and it’s employees ...
My contrarian viewpoint is not intended to make people laugh but as 1509 pointed out , to make people think outside the box ....

As a major shareholder, GC , would have been informed about the placing and been given the chance to participate, imho
He is not however a director of RMS and so therefore he would’nt be informed on any investment thesis outside P2F.....

There is IMO lot’s of things going on in the background and we will find out what after the GM ...

In most placings that I am aware of the companies
Don’t give ´conditional ´ warrants .
The share placing has taken place and the investors that took part in the placing have ´ no guarantees ´ ( as far as we are aware of ) on getting these warrants

The warrants have a 3 month validity
They have a exercise price of 2p
They need to be sanctioned by shareholders at GM

These warrants are a ´ red herring ´ that this board are venting their frustrations on , although the chances are very slim that they will be exercised ..

Not many people including GC , did’nt make much noise about the £5 million placing , because we are just focusing on the warrants ....( red herring ? )

The majority of people here forget that a board of directors first responsibility is towards the company and it’s employees.....and not just getting the SP up to suit it’s shareholders

RMS , like all the other ´start ups ´ need Cash to survive until they generate enough revenue and profit ...

In the case of RMS can we guarantee that we will generate profits in 2021 ??

Watching the moves and actions of all parties but the game has only started IMO

I am awaiting their conversions of their stock options before the GM which will give them circa 4-5 % of the company

There happens to be a major difference in what is legal and what is ethical ...

The BOD are answerable to the FCA only if they have broken some of the FCA guidelines ...

Whilst we are all complaining about the supposed breaches of good gouvernance / ethics , we will have to prove that they have broken the regulations....
That’s a totally different ball game , IMO

Someone will have to pay the piper and the legal fees as well as any potential fines if anything is found to be condamnable.....

It’s always seems to be the shareholders who pick up the bill ....

The warrants were always a ´ cherry on the cake ´ and if you remember I did suggest that these warrants would not receive shareholder agreement..
Gareth was aware of the placing but he only spoke out about the warrants and not the placing ...
The exercise price of 2p for these warrants is keeping people focused solely on the warrants and not on the £5 million placing :-) Clever
Trevor and Paul will convert their stock options shortly IMO and will generate further dilution , circa 5% of the company
Very intriguing times

Relatively new to this board , and not therefore fully aware of the history behind the company , I find it intriguing the way that Trevor moves his pawns from one company to the next ....

If P2F was so valuable with such a mega potential why did BRH sell it to RMS and not a major who could have done a much better job of bringing the masks to market ?
Why did the masks fail 2out of three of the certification tests ?

By selling P2F to RMS , Trevor was able to reap rewards for BRH but how will RMS holders be able to reap rewards if the masks take too long to get certified and on to the market ?

Warrants and dilution and stock options etc are what tthis board or focusing on at this time but my concerns are elsewhere ...

One should always look at the bigger picture which is RMS ... I agree that most people came on board here for the masks but that is only one part of the puzzle and it’s DR Cave ´si baby ....

I don’t agree with all that the BOD have done but I am only looking out for myself and my investment in RMS ...

Don’t want to see this tanking further
