What are you on about? |IF , RED ROCK RESOURCES AUSTRALISIA IS SOLD to a TRADER BUYER /s, then the deal must take in TAX law as these are AUSTRALIAN LICENCES and it is NOT RRR, but RED ROCK AUSTRALISIA [not sure what is the name of the registered co in Australia]. It is subjected to tax law and RRR must consult , be it IPO or TRADE SALE. No good selling or IPO without clearing the TAX POSITION. In an IPO, every aspect has to be stated. Just like in the UK, UTILISING TAX LOSSES if one has made losses against gains, is of help as norm.

As for DRC, what is a "PRINCIPAL"|? Say, one inherits a house from one's parent and only 2 parties are NAMED in the Will /Probate. Suddenly, the lawyer doing the probate tries to STOP all legal paperwork etc . WELL, THE LAWYER/COUNSEL cant because he is "NOT A LEGAL PARTY." Same here for RRR DRC ----BELL STATED :"FAILED" re: JV partner's counsel. Why? I think Bell mentioned arbitration but no details given, suffice the MINSTER IS LEAVING.

RRR 's mkt cap is £2.5m @0.7p range. SO, LETS DEAL WITH ACCOUNTING FACT about ASSET which the stockmarket puts a MKT CAP on. I went to the ASX, Australian Stock Exchange to look for GPAC but found none. So, I have gone to the Canadian Stock Exchange and found that GPAC is Great Pacific Gold Corp, TSX. They have a VICTORIA project called "LAURISTON" which they own 100% and it is 90km from MELBOURNE, Oz. Lauriston is on the southern EXTENSION of the FOSTERVILLE gold BELT & is adj to AGNICO EAGLE's Fosterville tenements.

SXG , owner of SUNDAY CREEK in his latest interview mentioned "Fosterville" style gold at SUNDAY CREEK. RRR AUSTRALIA'S KILMORE IS NEXT DOOR to Sunday Creek. Meanwhile, Twitter stated stocks tepid, BTC down and gold up.

Well, Red Rock Resources is NEXT DOOR to SUNDAY CREEK. Remember folks, two days ago, Red Rock has taken over 100% of Australian gold assets and has KILMORE, NEXT DOOR TO SUNDAY CREEK [RRR's Donnycreek per POW JV partner before the deal found 200g/t gold ACROSS from Sunday Creek which found 199g/t gold. Market makers will have to hire specialist tax consultants to be able to break down RRR's RNS eg Victoria deal with POW.

I read PoW's RNS on the deal and from what I can see, on the surface analysis, THE PROFIT WAS NOT CRYSTALLISED but carried into the Balance Sheet. For RRR, it got a VALUATION uplift, and kills two birds with 1 stone. I think lots of deals possible from the new updates from RRR and I think the Paul Johnson style will emerge. Eventually, it will be run like an investment type fund. That would be ideal and this means RRR will not be suffering from the current situation many co's find themselves in eg PDAC discussing the industry is suffering from shorting etc as stated [link given]. Let's see what the future brings but DRC INTERNATIONAL ARBITRATION may be next potentially as Mr Bell elucidate and that will be US$430m.? Thur, 14.3.24 [[[TIME NOW IN KINSHASA, DRC: 12:20am in the early hrs and MR BELL, CHAIRMAN OF RRR HAS NOT TWEETED ANYTHING MORE FURTHER TO "MEETINGS" & "MEETING TO MEETING" and ALL BIZ MEETINGS WOULD BE ENDING AT 1AM /2AM MAX. The Resident took a FEW good days to decipher the RRR RNS re: POW 's sale of Australia JV [49.9%] to RRR in its entirety. This deal was not so straightforward in the deal book. But the ordinary posters were NOT able to decipher the complexity of this deal and more importantly the implications.? I read the POW RNS on this sale to RRR and they are essentially BOOKING it to their Balance Sheet. A Question was asked as to WHY this deal was executed ONE DAY before Mr Bell, Chairman of RRR left for the DRC. The reason is this: A INVESTMENT BANK PREPARED A VALUATION of fair value as norm and it came out at 100% PREMIUM to RRR share price of 0.07p+ =0.15p deal valuation. IF, it was POST DRC, then the deal would have to take in the DRC metric and IF favourable, it would have LIFTED RRR'S VALUATION FURTHER. So, POW did NOT want to wait for post DRC or RRR had a TRADE BUYER at the side line. HELPFUL: The Resident has appealed to Mr Bell to remove him from this forum, even today. But without helpful here on this forum, we, holders would be bereft of links to articles etc. So, today, Helpful's holding in Elephant Oil etc was mentioned. Maidit308 and I were also under "inquisition" and RRR as well. ? CONCLUSION: It was very obvious that RRR could NOT ISSUE stock at the Authorised price for one simple reaso- It is NOT fair value and every co on AIM is under the same pressure. The major holders will NOT agree and hence in the RRR AR, it was already said that there would be or could be disposals etc. POST DRC:There will be SYNTHETIC shares and they must be squared up [other co's also have missing stock unaccounted for per posters].? So, the whole exercise appears to have failed - NO Authorised Issuance since RRR AGM, London on 16.2.24 -resident could NOT see it early on , that it was never going to happen the straight forward way ie RRR has no escape clause except to issue but in FACT, it had. Going forward, there will be MORE COMPLEX deal book/s in the style of Paul Johnson accounting style & Balance Sheet implications. I think so, anyway. A full 3 HOURS has passed since the tweet [2] from Mr Bell, Chairman of RRR from Kinshasa, DRC. It is now almost 10PM in Kinshasa [1 hr ahead of UK time]. I will now assume there CAN BE NO MORE TWEETS about "meeting" & "meeting to meeting" from Mr Bell, as norm. Given, Mr Bell was interviewed from Kenya @Stockbox, about his going to DRC to settle the issue of the JV Counsel, it means that Mr Bell HAS TO RNS the OUTCOME tomorrow, Fri, 15 Mar 2024? Hope so.

So, if there is a CHEQUE to be paid, it is RRR that will receive the cheque from the buyer/state miner [DRC]. RRR can easily then place a certain amount in ESCROW for the RRR's JV partner's Counsel for his legal fees. That way, the Counsels legal fees will be paid and therefore, issue resolved [ref: interview by Mr Bell @Stockbox]. Then, given there is "AGREEMENT" between parties , the legal paperwork will go through for court finalisation etc. Or some other combo of which is resolution to the issue described by Mr Bell?

Resident: Are you sure? I just checked Companies House UK Gov and there are 63 shareholders from the original list. But to know how much each owns at any one time does suggest you have the names from the REGISTER of Elephant Oil Ltd which is not OPEN to the public as it is a private co? So, info is NOT verified.?
