Looks like it's me that's got it back to front. Just went over it again and indeed, the offer will be made at least seven days before the GM. So we know the company is offering 2.67 per share which will give them 75% ownership and waiver rule 9. This puts shareholders in a tough position. Do they take the 2.67 or reject it hoping the company will up the offer. Rejecting it would put shareholders at risk as the company could turn around and put the company into administration. The company is obviously in a finanacial crisis at the moment as they are unable to fulfil their commitments for this year. Calling their bluff and rejecting the offer might just backfire, but one thing is for sure. The company will definitely be taking the company private whether that's through the debt to equity raise, or administration.

You got that back to front. The offer can only be made once the debt to equity raise goes through. The debt to equity raise is conditional on it being approved by shareholders in the GM.

Cl2201 - The Debt to Equity raise is the current offer, which will see Nioko own 75% of the company if it goes through. They will then seek to buy out the remaining shares at 2.67 per share and take the company private.

Cl2201 - The board have made it clear that Nioko will be putting in an offer of 2.67 per share. Shreholders will have the opportunity to reject this offer and propose a better offer. Whether they get it or not is another thing.

Crossthetea - there are two stages to this. We have the Debt to Equity offer which is the current offer that shareholders must vote for or against. If shareholders vote no to the Debt to Equity offer, it could mean the company going into administration, which will mean losses for long and short term holders. This was clearly stated in the Annual Report.

From the Debt to Equity raise the company will see the outstanding loan of 30M wiped off the books which would be good for the company and new shareholders. Old shareholders will still suffer losses, but that could be minimised by the second offer where Nioko will put in an offer to take the company private. They have stated that they will be offering 2.67 per share which will need to be voted on by sharejholders. It's at this stage where shareholder will have the opportunity to reject the offer and try to get a better offer. Longterm holders should be taking the opportunity to average down now at this ridiculously low price in the hope that they will get a better deal when the Nioko offer comes in. New investors are on a win win if they buy in now. This is why it is imperative that shareholders vote yes to the Debt to Equity raise.

General Meeting scheduled for 10:00 GMT on 23 December 2024. Shareholders must vote yes for the offer to go through.

It's important that shareholders vote yes to the upcoming Debt to Equity raise. If they vote no, then the company could end up going into administration. It's a no brainer at this point. For investors to have any chance of recouping any losses, they must vote yes.

That's normally how it goes, buy on rumour sell on news. Might be a slight setback or it could be heading back down, who knows. But what I do know is this Share is massively undervalued, so would expect a bounce back up. But as you and I know stocks, especially the AIM ones, doesn't always behave as you would expect them to.

You have to ask yourself is this the bottom now, and when will it or will it bounce back up, or will it continue to slide. The dip could be because of a possible fuund raise on the cards and/or possible dilution. But on the flip side it could be that the company has enough in reserve to see us out for another 6 months to a year. If thats the case then this could bounce back up. It would be good if the BOD could give us an update on that.

Definitely an opportunity here, question is do you buy in now or wait to see if it goes down some more?

It's all a smokescreen to make the market think that the business is not profiting, that way the shares dip and they get to buy at a cheap price, maybe even cheaper than the 2.677 they promised.. We're not all as stupid as these greedy stakeholders think. It's pretty obvious what they're doing her.

Yes, I say call their bluff. With so many companies invested in HUM, they obviously have confidence in the business. I'm sure they can raise the cash through other means rather than diluting the shares. Maybe pull out some of that cash they have holed up in the Bahamas.

So by December 4th they will state their intentions.

In accordance with Rule 2.6(a) and Rule 2.6(c) of the Code, Nioko and CIG are required, by not later than 5.00 p.m. (London time) on 4 December 2024, to either announce a firm intention to make an offer, subject to conditions or pre-conditions if relevant, for Hummingbird in accordance with Rule 2.7 of the Code or announce that it does not intend to make an offer for Hummingbird, in which case the announcement will be treated as a statement to which Rule 2.8 of the Code applies.

I have more questions than answers in relation to this Takeover offer. If the company in principle has made an offer , then why do they feel the need to waive Rule 9, is there something I'm missing?

According to the latest figures the company has debt of $150M. If shareholders vote no, how will they raise the capital that they urgently need?

Does anyone still think this will happen?
