1) gives Prem stronger position to bring in new II investor and to dilute Canmax out as certain contractual terms are linked to their % holding. Or at least as a threat to hold over them in negotiations. In this case vote YES

2) If deal already done the it seems better to vote NO

Read on Google about pre-emptive rights, its quite a good rule/right and would be bad to lose it.

The way I understand it is if we win the vote, then George has the upper hand over Canmax as then he can dilute them to below 10% negating contractual obligations linked to their holding percentage. Also he can bring in a new partner to replace them.

Friendly negotiations but with each side trying to hold a gun to the other’s head lol.

Just speculation on my part but could it be that Canmax are waiting for the result of the vote to judge how strong their position in negotiations is?

They say ‘friendly’ negotiations but business is war, if they have leverage to push for better terms I am sure they will.

They were due to post drill results.

If you read following RNS’s they are now going to stop exploration and concentrate on production.

BTW good luck to anyone who caught anything at 1.8p in those few minutes/seconds. If they did it must have been peanuts MMs no way would have let you get any substantial amount that low.

The instantaneous recovery from 1.8p shpuld tell you everything you need to know about the strength of this stock.

Of course he knows what the plant is producing. Don't you understand that this is very sensitive information right now if there are ongoing negotiations with Canmax and with other interested parties.

You don't blurt that kind of info out right now, this is a very sensitive time.

If we all buy up the new shares we are offered under pre-emption rights Canmax won't be able to increase their holding.

Its time for George to step up to the plate and front up the short term shortfall himself if production of SC6 is really just round the corner. And restore shareholder confidence.

As I understand it there's nothing stopping him raising more shares right now. Its just that he would have to:

"Under the Companies Act 2006, existing shareholders have the right to be offered shares pro rata to their existing shareholdings before any new shares are allotted. This is called a pre-emption right."

This is what he is trying to overturn. Why is this a bad thing? All shareholders would have to be offered the new shares first including Canmax to have an opportunity to maintain the proportion of their holding.

You guys want to be diluted by some institutional investor and not be offered the above right.

Sure this could screw Canmax but its going to screw the small shareholders too. So if you vote yes you are only doing so in the hope Canmax get screwed, and throwing yourself under the bus at the same time.
