Just trying to get my head around who would actually vote in favour of 1 and 4? Unless the bod were planning to take part in that placing, I see nobody else who stands to gain? If the largest holders doubled what they held, but the share count is double they are no better off?

Not exactly sure what to make of this. Aren't they supposed to put more meat on the bone?

It won't take that many votes to vote down resolutions 1 and 4. Anton must surely vote them down, that's 14% already. A few of the large holders here could probably get 16% between them just for starters.

I totally am in support of this. Raise a new EGM when there is something specific to vote on, then we raise the required capital and we're not just paying a golden parachute for bod.

If they announce an RTO target within a couple of weeks of cash shell status, I would anticipate no more than 2 months absolute max to legally get it sorted. During which time our shares (in Bould) would rocket up to the proposed transaction value. Which will already have been agreed, pending a shareholder vote.

It's impressive, but I don't think these shares are "in issue". I think someone is naked forward selling the placing.

I honestly have no clue how to value what is fair value. 0.09 (around £5m) seems achievable. I think the highest price paid in last 12 months 0.56 would correspond to £32mcap which is completely impossible Imo. I'd say personally that anything over 0.1 is very unlikely

Or put another way if (us smaller pi) do nothing at all and this rto all goes through, our money will increase x5 / x10 / x15? And then you will own that £value of shares in whoever the new company is on the day they list.

I think essentially that using my example, Psl at £5m and £5m company X shares you gain nothing at all by selling at that point of crossing over. The shares do not increase in value simply bring converted. They will gain (or drop) in value in exactly the same way people buying into company X will on their listing day.

Company X will basically acquire the shares of Psl for say £5m. We will cease to have shares in Psl and be granted £5m of shares in Company X. Who may have an mcap of £100m etc. So our % of that company is almost nothing. They get our £1m in cash, as they own us. Aside from that no money actually changes hands. Any other remaining assets are transferred legally. The value for us is generated between current mcap and the conversion value of (example) £5m. That's my understanding anyway.

Aren't they just forward (naked) selling the imminent placing as they normally do?
