NEDs (or in this case the Independent Directors) are like internal auditors, policing a company's dealings to ensure nothing untoward's taking/taken place.

In this case, something clearly has. And it sounds pretty dodgy to me:

"Based on their current knowledge of the Payment, the Independent Directors do not expect they would have considered it to have been fair and reasonable. I note the spread has widened today and was quoted 648p on a dummy buy based on very small volume (a c. £13 trade!). Would presumably have been more expensive still on a higher value trade, but I've maxed out the free cash in my family's various ISAs. Looks like I got in at the right time.....

Nor do I believe for one second that works would be slowed down to keep a lid on the SP whilst the new Non Exec Chair accumulated.
