We are not in the travel industry and were reducing monthly cash burn well prior to Free Guy's release and consequent success and also given Shang Chi's surprise $90M Labor Day opening weekend and it now having just surpassed $100M at the 5 day point.

I think the focus will be on what Shang Chi takes at the Box office this weekend and whether it points towards Disney knocking day and date release on the head. Shang Chi is theatrical release only for 45 days so exclusive to cinemas and the comparison will be with Black Widow which took $80M opening and dipped 67% to $26.4M in its second weekend and mainly due to piracy issues. You don't get that with theatrical so decide for yourself if you think it will surpass.

Many motivators involved Crumpets but I'd hazard a guess that one of the primary motivators in all of this will be money: Still endeavouring to deliver the golden egg for shareholders? What do the Directors stand to gain from the takeover? What also would Barristers or Chambers gain by suggesting you have a good case?

Just as a court will do, extract any potentially mercenary aspects or motivators out of the equation and concentrate on simply dissecting the facts.

Assignment Agreement in place.
Clear they were in breach a debt constituent.
Correspondence highlighting it and giving them opportunity to remedy things.

Or it is an equitable draw based on the common law principle of "frustration" and both absolved of their contractual responsibilities.

If anyone thinks Cineplex will win the court case then rather than simply stating bland scaremongering one liners with no backing or justification then please post the justifications and grounds for your reasoning and bear in mind that some on here have read the Arrangement Agreement in full and have also scanned the Cineplex accounts and the fundraising details that they then completed just directly after Cineworld gave them the chance to remedy the debt situation prior to pulling the plug.

Then everyone can balance the arguments up and make their own semi-informed decision.

Following Cineworld's termination on 12 June 2020 of the Arrangement Agreement relating to its proposed acquisition of Cineplex Inc. ("Cineplex"), Cineplex initiated proceedings against Cineworld. The proceedings allege that Cineworld breached its obligations under the Arrangement Agreement and/or duty of good faith and honest contractual performance. Cineworld is defending its position. The Group terminated the Arrangement Agreement because Cineplex breached a number of its covenants under the Arrangement Agreement and could not meet certain conditions necessary for closing. Cineplex did not remedy its breaches when given the opportunity to do so. As of the date of these financial statements, the Directors are of the view that no material liability will arise in respect of this claim."

Good luck also if you think the court case will go ahead on the 13th Sept.

The court concerned is presently working not by physical presence in the court room itself but by remote access, (Zoom, Microsoft Teams or whatever) and it will have numerous other pre and post pandemic businesses stacked up to get through.

One of Cineplex's last comments on the subject from their stock market updates.

"While a trial date has been set for September 2021, due to uncertainties inherent in litigation, it is not possible for Cineplex to predict the timing or final outcome of the legal proceedings against Cineworld or to determine the amount of damages, if any, that may be awarded.”

you then need to factor in 3 to 4 weeks for any trial, once things get started so you do realise that both Bond and Venom should hit the silver screens prior to any outcome.

All down to the barristers to thrash it out. If we win based on Cineplex breaching debt then we get costs and compensation. If the doctrine of frustration prevails and wins the day then I'd expect both sides to be absolved of their responsibilities under the Arrangement Agreement.

Mooky's last statements on the subject only a few weeks ago is that they expect no liability.

I was thinking the same Danosaur and we have been at 70p several times before without even a whiff of the $90M that Shang Chi has just made on its opening weekend and a Labour Day Cumulative audience of $130M upwards and most importantly - exceeding pre-pandemic levels for the same time period. Essentially it should translate to about an extra weeks takings.

Black Widow dropped 67% to only $26.4M on weekend 2 thanks mainly to piracy. With Shang Chi being theatrical only for 45 days imho it is a one way bet it will take far more.

Can't be long now until Bond tickets go on sale and then the months of October should really kick things off in terms of big Box Office. Bond's cumulative audience, Venom Carnage, Halloween sequel, Last Night in Soho and leading into The Eternals.
