There were high hopes of chasing down other infringers with cash in the bank and the settlement validating the technology ..the promise of pursuing infringers and getting display licensing deals have all gone a bit quiet.

No it hasn’t it was clearly stated in the return of capital , reduction of share capital document sent to all shareholders to vote on that it would commence shortly after the receipt of the second trance. 1st quarter is a later Nanoco goal post move.

Also note the word commence …they are no where near commencing anything until they announce it and get the shareholder approval likely necessary.

Their duty is to act in the interests of the company and all stakeholders…the shareholders being a particularly important group as they own the company. They get a significant say in approving strategy and who actually runs the company…they may see there needs to be strengthening in certain roles…or not !

Neds is very much a part time role they are not there to run the day to day business in any way and go marketing products. Though they can obviously make helpful introductions.

A good non-executive director (NED) is like an effective consultant; they are there to constructively challenge poor thinking and ways of doing things.

An effective non-executive director is not a person who is there on behalf of the CEO as a box ticker and ‘yes’ person.

NEDs should play a vital role in a company’s governance by bringing their ‘outsider’s’ independent and objective perspective.

A good NED will always contribute to the development of a company.

The role of non-executive directors is to provide objective and independent advice to the board and enable it to make better decisions in the interest of all shareholders and stakeholders.

So basically holding the executives to account for delivering on board approved strategy and targets.

I am hopeful that the new appointments will bring positive change and hopefully restore confidence..likely one of the new brooms will become Chair which is obviously a crucial role in strategic planning and executive accountability. I would favour Dr Jalal Bagherli for the role ..having run a multi $b company for many years on the global stage i would imagine he will be well aware of the qualities necessary to commercially monetise IP for the benefit of all stakeholders ..the board of the company was somewhat small company and UK centric and having his wider world view i see as very important if this company can move to achieve its potential.

Would be surprised if there was any response but even more surprised if it got anywhere near Herr May if sent via the company!

He’s not being sent by or for Nanoco onto another board, having run business he is now taking multiple NED roles as many ex CEO’s do. Yes he has good contacts no doubt and that is a good thing as can possibly do some networking , seems something maybe this small company lacks but the appointment to Nordic and his other roles are not there for Nanoco.

We should be given a full list of all new directors associations and positions held when they join the board…Nordic is a new appointment following an EGM so disclosed correctly one day before. But maybe a more interesting Directorship he holds is at Isorg where he was previously CEO. ..what it does and where it is based is interesting though one might question whether it’s complimentary or potentially in competition.
